Tendo sido tomadas as medidas necessárias para o cumprimento do Acordo relativo ao Fundo Monetário Internacional adoptado na Conferência Monetária e Financeira das Nações Unidas, realizada em Bretton Woods (N. H., Estados Unidos da América) de 1 a 22 de Julho de 1944, e da Resolução dos governadores daquele Fundo de 29 de Setembro de 1959;
Usando da faculdade conferida pela 2.ª parte do n.º 2.º do artigo 109.º da Constituição, o Governo decreta e eu promulgo, para valer como lei, o seguinte:
Artigo único. É aprovado, para adesão, o Acordo relativo ao Fundo Monetário Internacional adoptado na Conferência Monetária e Financeira das Nações Unidas, realizada em Bretton Woods (N. H., Estados Unidos da América) de 1 a 22 de Julho de 1944, cujo texto em inglês e respectiva tradução são os que seguem anexos ao presente decreto.

The Governments on whose behalf the present Agreement is signed agree as follows:
The International Monetary Fund is established and shall operate in accordance with the following provisions:
The purposes of the International Monetary Fund are:
The Fund shall be guided in all its decisions by the purposes set forth in this Article.
The original members of the Fund shall be those of the countries represented at the United Nations Monetary and Financial Conference whose Governments accept membership before the date specified in article XX, section 2, (e).
Membership shall be open to the governments of other countries at such times and in accordance with such terms as may be prescribed by the Fund.
Each member shall be assigned a quota. The quotas of the members represented at the United Nations Monetary and Financial Conference which accept membership before the date specified in article XX, section 2 (e), shall be those set forth in Schedule A. The quotas of other members shall be determined by the Fund.
The Fund shall at intervals of five years’ review, and if it deems it appropriate propose an adjustment of, the quotas of the members. It may also, if it thinks fit, consider at any other time the adjustment of any particular quota at the request of the member concerned. A four-fifths majority of the total voting power shall be required for any change in quotas and no quota shall be changed without the consent of the member concerned.
(a) The subscription of each member shall be equal to its quota and shall be paid in full to the Fund at the appropriate depository on or before the date when the member becomes eligible under article XX, section 4(c) or (d), to buy currencies from the Fund.
(b) Each member shall pay in gold, as a minimum, the smaller of
Each member shall furnish to the Fund the data necessary to determine its net official holdings of gold and United States dollars.
(c) Each member shall pay the balance of its quota in its own currency.
(d) If the net official holdings of gold and United States dollars of any member as at the date referred to in (b), (ii), above, are not ascertainable because its territories have been occupied by the enemy, the Fund shall fix an appropriate alternative date for determining such holdings. If such date is later than that on which the country becomes eligible under article XX, section 4(c) or (d), to buy currencies from the Fund, the Fund and the member shall agree on a provisional gold payment to be made under (b), above, and the balance of the member’s subscription shall be paid in the member’s currency, subject to appropriate adjustment between the member and the Fund when the net official holdings have been ascertained.
(a) Each member which consents to an increase in its quota shall, within thirty days after the date of its consent, pay to the Fund twenty-five per cent of the increase in gold and the balance in its own currency. If, however, on the date when the member consents to an increase, its monetary reserves are less than its new quota, the Fund may reduce the proportion of the increase to be paid in gold.
(b) If a member consents to a reduction in its quota, the Fund shall, within thirty days after the date of the consent, pay to the member an amount equal to the reduction. The payment shall be made in the member’s currency and in such amount of gold as may be necessary to prevent reducing the Fund’s holdings of the currency below seventy-five per cent of the new quota.
The Fund shall accept from any member in place of any part of the member’s currency which in the judgment of the Fund is not needed for its operations, notes or similar obligations issued by the member or the depository designated by the member under article XIII, section 2, which shall be non-negotiable, non-interest bearing and payable at their par value on demand by crediting the account of the Fund in the designated depository. This section shall apply not only to currency subscribed by members but also to any currency otherwise due to, or acquired by, the Fund.
(a) The par value of the currency of each member shall be expressed in terms of gold as a common denominator or in terms of the United States dollar of the weight and fineness in effect on July 1, 1944.
(b) All computations relating to currencies of members for the purpose of applying the provisions of this Agreement shall be on the basis of their par values.
The Fund shall prescribe a margin above and below par value for transactions in gold by members, and no member shall buy gold at a price above par value plus the prescribed margin, or sell gold at a price below par value minus the prescribed margin.
The maximum and the minimum rates for exchange transactions between the currencies of members taking place within their territories shall not differ from parity.
(a) Each member undertakes to collaborate with the Fund to promote exchange stability, to maintain orderly exchange arrangements with other members, and to avoid competitive exchange alterations.
(b) Each member undertakes, through appropriate measures consistent with this Agreement, to permit within its territories exchange transactions between its currency and the currencies of other members only within the limits prescribed under section 3 of this article. A member whose monetary authorities, for the settlement of international transactions, in fact freely buy and sell gold within the limits prescribed by the Fund under section 2 of this article shall be deemed to be fulfilling this undertaking.
(a) A member shall not propose a change in the par value of its currency except to correct a fundamental disequilibrium.
(b) A change in the par value of a member’s currency may be made only on the proposal of the member and only after consultation with the Fund.
(c) When a change is proposed, the Fund shall first take into account the changes, if any, which have already taken place in the initial par value of the member’s currency as determined under article XX, section 4. If the proposed change, together with all previous changes, whether increases or decreases,
(d) Uniform changes in par values made under section 7 of this article shall not be taken into account in determining whether a proposed change falls within (i), (ii), or (iii) of (c), above.
(e) A member may change the par value of its currency without the concurrence of the Fund if the change does not affect the international transactions of members of the Fund.
(f) The Fund shall concur in a proposed change which is within the terms of (c), (ii), or (c), (iii), above, if it is satisfied that the change is necessary to correct a fundamental disequilibrium. In particular, provided it is so satisfied, it shall not object to a proposed change because of the domestic social or political policies of the member proposing the change.
If a member changes the par value of its currency despite the objection of the Fund, in cases where the Fund is entitled to object, the member shall be ineligible to use the resources of the Fund unless the Fund otherwise determines; and if, after the expiration of a reasonable period, the difference between the member and the Fund continues, the matter shall be subject to the provisions of article XV, section 2, (b).
Notwithstanding the provisions of section 5, (b), of this article, the Fund by a majority of the total voting power may make uniform proportionate changes in the par values of the currencies of all members, provided each such change is approved by every member which has ten per cent or more of the total of the quotas. The par value of a member’s currency shall, however, not be changed under this provision if, within seventy-two hours of the Fund’s action, the member informs the Fund that it does not wish the par value of its currency to be changed by such action.
(a) The gold value of the Fund’s assets shall be maintained notwithstanding changes in the par or foreign exchange value of the currency of any member.
(b) Whenever (i) the par value of a member’s currency is reduced, or (ii) the foreign exchange value of a member’s currency has, in the opinion of the Fund, depreciated to a significant extent within that member’s territories, the member shall pay to the Fund within a reasonable time an amount of its own currency equal to the reduction in the gold value of its currency held by the Fund.
(c) Whenever the par value of a member’s currency is increased, the Fund shall return to such member within a reasonable time an amount in its currency equal to the increase in the gold value of its currency held by the Fund.
(d) The provisions of this section shall apply to a uniform proportionate change in the par values of the currencies of all members, unless at the time when such a change is proposed the Fund decides otherwise.
A member proposing a change in the par value of its currency shall be deemed, unless it declares otherwise, to be proposing a corresponding change in the par value of the separate currencies of all territories in respect of which it has accepted this Agreement under article XX, section 2, (g). It shall, however, be open to a member to declare that its proposal relates either to the metropolitan currency alone, or only to one or more specified separate currencies, or to the metropolitan currency and one or more specified separate currencies.
Each member shall deal with the Fund only through its treasury, central bank, stabilization fund or other similar fiscal agency and the Fund shall deal only with or through the same agencies.
Except as otherwise provided in this Agreement operations on the account of the Fund shall be limited to transactions for the purpose of supplying a member, on the initiative of such member, with the currency of another member in exchange for gold or for the currency of the member desiring to make the purchase.
(a) A member shall be entitled to buy the currency of another member from the Fund in exchange for its own currency subject to the following conditions:
(b) A member shall not be entitled without the permission of the Fund to use the Fund’s resources to acquire currency to hold against forward exchange transactions.
The Fund may in its discretion, and on terms which safeguard its interests, waive any of the conditions prescribed in section 3, (a) of this article, especially in the case of members with a record of avoiding large or continuous use of the Fund’s resources. In making a waiver it shall take into consideration periodic or exceptional requirements of the member requesting the waiver. The Fund shall also take into consideration a member’s willingness to pledge as collateral security gold, silver, securities, or other acceptable assets having a value sufficient in the opinion of the Fund to protect its interests and may require as a condition of waiver the pledge of such collateral security.
Whenever the Fund is of the opinion that any member is using the resources of the Fund in a manner contrary to the purposes of the Fund, it shall present to the member a report setting forth the views of the Fund and prescribing a suitable time for reply. After presenting such a report to a member, the Fund may limit the use of its resources by the member. If no reply to the report is received from the member within the prescribed time, or if the reply received is unsatisfactory, the Fund may continue to limit the member’s use of the Fund’s resources or may, after giving reasonable notice to the member, declare it ineligible to use the resources of the Fund.
(a) Any member desiring to obtain, directly or indirectly, the currency of another member for gold shall, provided that it can do so with equal advantage, acquire it by sale of gold to the Fund.
(b) Nothing in this section shall be deemed to preclude any member from selling in any market gold newly produced from mines located within its territories.
(a) A member may purchase from the Fund and the Fund shall sell for gold any part of the Fund’s holdings of its currency in excess of its quotas.
(b) At the end of each financial year of the Fund, a member shall repurchase from the Fund with gold or convertible currencies, as determined in accordance with Schedule B, part of the Fund’s holdings of its currency under the following conditions:
(c) None of the adjustments described in (b) above shall carried to a point at which
(a) Any member buying the currency of another member from the Fund in exchange for its own currency shall pay a service charge uniform for all members of three-fourths per cent in addition to the parity price. The Fund in its discretion may increase this service charge to not more than one per cent or reduce it to not less than one-half percent.
(b) The Fund may levy a reasonable handling charge on any member buying gold from the Fund or selling gold to the Fund.
(c) The Fund shall levy charges uniform for all members which shall be payable by any member on the average daily balances of its currency held by the Fund in excess of its quota. These charges shall be at the following rates:
(d) Whenever the Fund’s holdings of a member’s currency are such that the charge applicable to any bracket for any period has reached the rate of four per cent per annum, the Fund and the member shall consider means by which the Fund’s holdings of the per cent per annum, the Fund and the member shall rise in accordance with the provisions of (c) above until they reach five per cent and failing agreement, the Fund may then impose such charges as it deems appropriate.
(e) The rates referred to in (c) and (d) above may be changed by a three-fourths majority of the total voting power.
(f) All charges shall be paid in gold. If, however, the member’s monetary reserves are less than one-half of its quota, it shall pay in gold only that proportion of the charges due which such reserves bear to one-half of its quota, and shall pay the balance in its own currency.
(a) A member may not make net use of the Fund’s resources to meet a large or sustained outflow of capital, and the Fund may request a member to exercise controls to prevent such use of the resources of the Fund. If, after receiving such a request, a member fails to exercise appropriate controls, the Fund may declare the member ineligible to use the resources of the Fund.
(b) Nothing in this section shall be deemed:
If the Fund’s holdings of the currency of a member have remained below seventy-five per cent of its quota for an immediately preceding period of not less than six months, such member, if it has not been declared ineligible to use the resources of the Fund under section 1 of this article, article IV, section 6, article V, section 5, or article XV, section 2, (a), shall be entitled, notwithstanding the provisions of section 1, (a), of this article, to buy the currency of another member from the Fund with its own currency for any purpose, including capital transfers. Purchases for capital transfers under this section shall not, however, be permitted if they have the effect of raising the Fund»s holdings of the currency of the member desiring to purchase above seventy-five per cent of its quota, or of reducing the Fund’s holdings of the currency desired below seventy-five per cent of the quota of the member whose currency is desired.
Members may exercise such controls as are necessary to regulate international capital movements, but no member may exercise these controls in a manner which will restrict payments for current transactions or which will unduly delay transfers of funds in settlement of commitments, except as provided in article VII, section 3, (b), and in article XIV, section 2.
If the Fund finds that a general scarcity of a particular currency is developing, the Fund may so inform members and may issue a report setting forth the causes of the scarcity and containing recommendations designed to bring it to an end. A representative of the member whose currency is involved shall participate in the preparation of the report.
Measures to replenish the Fund’s holdings of scarce currencies
The Fund may, if it deems such action appropriate to replenish its holdings of any member’s currency, take either or both of the following steps:
(a) If it becomes evident to the Fund that the demand for a member’s currency seriously threatens the Fund’s ability to supply that currency, the Fund, whether or not it has issued a report under section 1 of this article, shall formally declare such currency scarce and shall thenceforth apportion its existing and accruing supply of the scarce currency with due regard to the relative needs of members, the general international economic situation and any other pertinent considerations. The Fund shall also issue a report concerning its action.
(b) A formal declaration under (a) above shall operate as an authorisation to any member, after consultation with the Fund, temporarily to impose limitations on the freedom of exchange operations in the scarce currency. Subject to the provisions of article IV, sections 3 and 4, the member shall have complete jurisdiction in determining the nature of such limitations, but they shall be no more restrictive than is necessary to limit the demand for the scarce currency to the supply held by, or accruing to, the member in question; and they shall be relaxed and removed as rapidly as conditions permit.
(c) The authorisation under (b) above shall expire whenever the Fund formally declares the currency in question to be no longer scarce.
Any member imposing restrictions in respect of the currency of any other member pursuant to the provisions of section 3, (b), of this article shall give sympathetic consideration to any representations by the other member regarding the administration of such restrictions.
Members agree not to invoke the obligations of any engagements entered into with other members prior to this Agreement in such a manner as will prevent the operation of the provisions of this article.
In addition to the obligations assumed under other articles of this Agreement, each member undertakes the obligations set out in this Article.
(a) Subject to the provisions of article VII, section 3, (b), and article XIV, section 2, no member shall, without the approval of the Fund, impose restrictions on the making of payments and transfers for current international transactions.
(b) Exchange contracts which involve the currency of any member and which are contrary to the exchange control regulations of that member maintained or imposed consistently with this Agreement shall be unenforceable in the territories of any member. In addition, members may, by mutual accord, co-operate in measures for the purpose of making the exchange control regulations of either member more effective, provided that such measures and regulations are consistent with this Agreement.
No member shall engage in, or permit any of its fiscal agencies referred to in article V, section 1, to engage in any discriminatory currency arrangements or multiple currency practices except as authorised under this Agreement or approved by the Fund. If such arrangements and practices are engaged in at the date when this Agreement enters into force the member concerned shall consult with the Fund as to their progressive removal unless they are maintained or imposed under article XIV, section 2, in which case the provisions of section 4 of that article shall apply.
(a) Each member shall buy balances of its currency held by another member if the latter, in requesting the purchase, represents.
The buying member shall have the option to pay either in the currency of the member making the request or in gold.
(b) The obligation in (a) above shall not apply
(a) The Fund may require members to furnish it with such information as it deems necessary for its operations, including, as the minimum necessary for the effective discharge of the Fund’s duties, national data on the following matters:
(b) In requesting information the Fund shall take into consideration the varying ability of members to furnish the data requested. Members shall be under no obligation to furnish information in such detail that the affairs of individuals or corporations are disclosed. Members undertake, however, to furnish the desired information in as detailed and accurate a manner as is practicable, and, so far as possible, to avoid mere estimates.
(c) The Fund may arrange to obtain further information by agreement with members. It shall act as a centre for the collection and exchange of information on monetary and financial problems, thus facilitating the preparation of studies designed to assist members in developing policies which further the purposes of the Fund.
Where under this Agreement a member is authorised in the special or temporary circumstances specified in the Agreement to maintain or establish restrictions on exchange transactions, and there are other engagements between members entered into prior to this Agreement which conflict with the application of such restrictions, the parties to such engagements will consult with one another with a view to making mutually acceptable adjustments as may be necessary. The provisions of this article shall be without prejudice to the operation of article VII, section 5.
To enable the Fund to fulfil the functions with which it is entrusted, the status, immunities and privileges set forth in this article shall be accorded to the Fund in the territories of each member.
The Fund shall possess full juridical personality, and, in particular, the capacity:
The Fund, its property and its assets, wherever located and by whomsoever held, shall enjoy immunity from every form of judicial process except to the extent that it expressly waives its immunity for the purpose of any proceedings or by the terms of any contract.
Property and assets of the Fund, wherever located and by whomsoever held, shall be immune from search, requisition, confiscation, expropriation or any other form of seizure by executive or legislative action.
To the extent necessary to carry out the operations provided for in this Agreement, all property and assets of the Fund shall be free from restrictions, regulations, controls and moratoria of any nature.
The official communications of the Fund shall be accorded by members the same treatment as the official communications of other members.
All governors, executive directors, alternates, officers and employees of the Fund
(a) The Fund, its assets, property, income and its operations and transactions authorised by this Agreement, shall be immune from all taxation and from all customs duties. The Fund shall also be immune from liability for the collection or payment of any tax or duty.
(b) No tax shall be levied on or in respect of salaries and emoluments paid by the Fund to executive directors, alternates, officers or employees of the Fund who are not local citizens, local subjects, or other local nationals.
(c) No taxation of any kind shall be levied on any obligation or security issued by the Fund, including any dividend or interest thereon, by whomsoever held
Each member shall take such action as is necessary in its own territories for the purpose of making effective in terms of its own law the principles set forth in this article and shall inform the Fund of the detailed action which it has taken.
The Fund shall co-operate within the terms of this Agreement with any general international organization and with public international organizations having specialized responsibilities in related fields. Any arrangements for such co-operation which would involve a modification of any provision of this Agreement may be effected only after amendment to this Agreement under article XVII.
Each member undertakes:
Nothing in this Agreement shall affect the right of any member to impose restrictions on exchange transactions with non-members or with persons in their territories unless the Fund finds that such restrictions prejudice the interests of members and are contrary to the purposes of the Fund.
The Fund shall have a board of governors, executive directors, a managing director, and a staff.
(a) All powers of the Fund shall be vested in the board of governors, consisting of one governor and one alternate appointed by each member in such manner as it may determine. Each governor and each alternate shall serve for five years, subject to the pleasure of the member appointing him, and may be reappointed. No alternate may vote except in the absence of his principal. The board shall select one of the governors as chairman.
(b) The board of governors may delegate to the executive directors authority to exercise any powers of the board, except the power to:
(c) The board of governors shall hold an annual meeting and such other meetings as may be provided for by the board or called by the executive directors. Meetings of the board shall be called by the directors whenever requested by five members or by members having one quarter of the total voting power.
(d) A quorum for any meeting of the board of governors shall be a majority of the governors exercising not less than two-thirds of the total voting power.
(e) Each governor shall be entitled to cast the number of votes allotted under section 5 of this article to the member appointing him.
(f) The board of governors may by regulation establish a procedure whereby the executive directors, when they deem such action to be in the best interests of the Fund, may obtain a vote of the governors on a specific question without calling a meeting of the board.
(g) The board of governors, and the executive directors to the extent authorized, may adopt such rules and regulations as may be necessary or appropriate to conduct the business of the Fund.
(h) Governors and alternates shall serve as such without compensation from the Fund, but the Fund shall pay them reasonable expenses incurred in attending meetings.
(i) The board of governors shall determine the remuneration to be paid to the executive directors and the salary and terms of the contract of service of the managing director.
(a) The executive directors shall be responsible for the conduct of the general operations of the Fund, and for this purpose shall exercise all the powers delegated to them by the board of governors.
(b) There shall be not less than twelve directors who need not be governors, and of whom
For the purposes of this paragraph, members means governments of countries whose names are set forth in Schedule A, whether they become members in accordance with article XX or in accordance with article II, section 2. When Governments of other countries become members, the board of governors may, by a four-fifths majority of the total voting power, increase the number of directors to be elected.
(c) If, at the second regular election of directors and thereafter, the members entitled to appoint directors under (b), (i), above do not include the two members, the holdings of whose currencies by the Fund have been, on the average over the preceding two years, reduced below their quotas by the largest absolute amounts in terms of gold as a common denominator, either one or both of such members, as the case may be, shall be entitled to appoint a director.
(d) Subject to article XX, section 3, (b), elections of elective directors shall be conducted at intervals of two years in accordance with the provisions of Schedule C, supplemented by such regulations as the Fund deems appropriate. Whenever the board of governors increases the number of directors to be elected under (b) above, it shall issue regulations making appropriate changes in the proportion of votes required to elect directors under the provisions of Schedule C.
(e) Each director shall appoint an alternate with full power to act for him when he is not present. When the directors appointing them are present, alternates may participate in meetings but not vote.
(f) Directors shall continue in office until their successors are appointed or elected. If the office of an elected director becomes vacant more than ninety days before the end of his term, another director shall be elected for the remainder of the term by the members who elected the former director. A majority of the votes cast shall be required for election. While the office remains vacant, the alternate of the former director shall exercise his powers, except that of appointing an alternate.
(g) The executive directors shall function in continuous session at the principal office of the Fund and shall meet as often as the business of the Fund may require.
(h) A quorum for any meeting of the executive directors shall be a majority of the directors representing not less than one-half of the voting power.
(i) Each appointed director shall be entitled to cast the number of votes allotted under section 5 of this article to the member appointing him. Each elected director shall be entitled to cast the number of votes which counted towards his election. When the provisions of section 5, (b), of this article are applicable, the votes which a director would otherwise be entitled to cast shall be increased or decreased correspondingly. All the votes which a director is entitled to cast shall be cast as a unit.
(j) The board of governors shall adopt regulations under which a member not entitled to appoint a director under (b) above may send a representative to attend any meeting of the executive directors when a request made by, or a matter particularly affecting, that member is under consideration.
(k) The executive directors may appoint such committees as they deem advisable. Membership of committees need not be limited to governors of directors or their alternates.
(a) The executive directors shall select a managing director who shall not be a governor or an executive director. The managing director shall be chairman of the executive directors, but shall have no vote except a deciding vote in case of an equal division. He may participate in meetings of the board of governors, but shall not vote at such meetings. The managing director shall cease to hold office when the executive directors so decide.
(b) The managing director shall be chief of the operating staff of the Fund and shall conduct, under the direction of the executive directors, the ordinary business of the Fund. Subject to the general control of the executive directors, he shall be responsible for the organisation, appointment and dismissal of the staff of the Fund.
(c) The managing director and the staff of the Fund, in the discharge of their functions, shall owe their duty entirely to the Fund and to no other authority. Each member of the Fund shall respect the international character of this duty and shall refrain from all attempts to influence any of the staff in the discharge of his functions.
(d) In appointing the staff the managing director shall, subject to the paramount importance of securing the highest standards of efficiency and of technical competence, pay due regard to the importance of recruiting personnel on as wide a geographical basis as possible.
(a) Each member shall have two hundred and fifty votes plus one additional vote for each part of its quota equivalent to one hundred thousand United States dollars.
(b) Whenever voting is required under article V, section 4 or 5, each member shall have the number of votes to which it is entitled under (a) above, adjusted:
provided, that neither net purchases nor net sales shall be deemed at any time to exceed an amount equal to the quota of the member involved.
(c) For the purpose of all computations under this section, United States dollars shall be deemed to be of the weight and fineness in effect on July 1, 1944, adjusted for any uniform change under article IV, section 7, if a waiver is made under section 8, (d), of that article.
(d) Except as otherwise specifically provided, all decisions of the Fund shall be made by a majority of the votes cast.
(a) The board of governors shall determine annually what part of the Fund’s net income shall be placed to reserve and what part, if any, shall be distributed.
(b) If any distribution is made, there shall first be distributed a two per cent non-cumulative payment to each member on the amount by which seventy-five per cent of its quota exceeded the Fund’s average holdings of its currency during that year. The balance shall be paid to all members in proportion to their quotas. Payments to each member shall be made in its own currency.
(a) The Fund shall publish an annual report containing an audited statement of its accounts, and shall issue, at intervals of three months or less, a summary statement of its transactions and its holdings of gold and currencies of members.
(b) The Fund may publish such other reports as it deems desirable for carrying out its purposes.
The Fund shall at all times have the right to communicate its views informally to any member on any matter arising under this Agreement. The Fund may, by a two-thirds majority of the total voting power, decide to publish a report made to a member regarding its monetary or economic conditions and developments which directly tend to produce a serious disequilibrium in the international balance of payments of members. If the member is not entitled to appoint an executive director, it shall be entitled to representation in accordance with section 3, (j), of this article. The Fund shall not publish a report involving changes in the fundamental structure of the economic organisation of members.
The principal office of the Fund shall be located in the territory of the member having the largest quota, and agencies or branch offices may be established in the territories of other members.
(a) Each member country shall designate its central bank as a depository for all the Fund’s holdings of its currency, or if it has no central bank it shall designate such other institution as may be acceptable to the Fund.
(b) The Fund may hold other assets, including gold, in the depositories designated by the five members having the largest quotas and in such other designated depositories as the Fund may select. Initially, at least one-half of the holdings of the Fund shall be held in the depository designated by the member in whose territories the Fund has its principal office and at least forty per cent shall be held in the depositories designated by the remaining four members referred to above. However, all transfers of gold by the Fund shall be made with due regard to the costs of transport and anticipated requirements of the Fund. In an emergency the executive directors may transfer all or any part of the Fund’s gold holdings to any place where they can be adequately protected.
Each member guarantees all assets of the Fund against loss resulting from failure or default on the part of the depository designated by it.
The Fund is not intended to provide facilities for relief or reconstruction or to deal with international indebtedness arising out of the war.
In the post-war transitional period members may, notwithstanding the provisions of any other articles of this Agreement, maintain and adapt to changing circumstances (and, in the case of members whose territories have been occupied by the enemy, introduce where necessary) restrictions on payments and transfers for current international transactions. Members shall, however, have continuous regard in their foreign exchange policies to the purposes of the Fund; and, as soon as conditions permit, they shall take all possible measures to develop such commercial and financial arrangements with other members as will facilitate international payments and the maintenance of exchange stability. In particular, members shall withdraw restrictions maintained or imposed under this section as soon as they are satisfied that they will be able, in the absence of such restrictions, to settle their balance of payments in a manner which will not unduly encumber their access to the resources of the Fund.
Each member shall notify the Fund before it becomes eligible under article XX, section 4,(c) or (d), to buy currency from the Fund, Whether it intends to avail itself of the transitional arrangements in section 2 of this article, or whether it is prepared to accept the obligations of article VIII, sections 2, 3 and 4. A member availing itself of the transitional arrangements shall notify the Fund as soon thereafter as it is prepared to accept the above-mentioned obligations.
Not later than three years after the date on which the Fund begins operations and in each year thereafter, the Fund shall report on the restrictions still in force under section 2 of this article. Five years after the date on which the Fund begins operations, and in each year thereafter, any member still retaining any restrictions inconsistent with article VIII, sections 2, 3 or 4, shall consult the Fund as to their further retention. The Fund may, if it deems such action necessary in exceptional circumstances, make representations to any member that conditions are favourable for the withdrawal of any particular restriction, or for the general abandonement of restrictions, inconsistent with the provisions of any other article of this Agreement. The member shall be given a suitable time to reply to such representations. If the Fund finds that the member persists in maintaining restrictions which are inconsistent with the purposes of the Fund, the member shall be subject to article XV, section 2, (a).
In its relations with members, the Fund shall recognise that the post-war transitional period will be one of change and adjustment and in making decisions on requests occasioned thereby which are presented by any member it shall give the member the benefit of any reasonable doubt.
Any member may withdraw from the Fund at any time by transmitting a notice in writing to the Fund at its principal office. Withdrawal shall become effective on the date such notice is received.
(a) If a member fails to fulfil any of its obligations under this Agreement, the Fund may declare the member ineligible to use the resources of the Fund. Nothing in this section shall be deemed to limit the provisions of article IV, section 6, article V, section 5, or article VI, section 1.
(b) If, after the expiration of a reasonable period the member persists in its failure to fulfil any of its obligations under this Agreement, or a difference between a member and the Fund under article IV, section 6, continues, that member may be required to withdraw from membership in the Fund by a decision of the board of governors carried by a majority of the governors representing a majority of the total voting power.
(c) Regulations shall be adopted to ensure that before action is taken against any member under (a) or (b) above, the member shall be informed in reasonable time of the complaint against it and given an adequate opportunity for stating its case, both orally and in writing.
When a member withdraws from the Fund, normal transactions of the Fund in its currency shall cease and settlement of all accounts between it and the Fund shall be made with reasonable despatch by agreement between it and the Fund. If agreement is not reached promptly, the provisions of Schedule D shall apply to the settlement of accounts.
(a) In the event of an emergency or the development of unforeseen circumstances threatening the operations of the Fund, the executive directors by unanimous vote may suspend for a period of not more than one hundred and twenty days the operation of any of the following provisions:
(b) Simultaneously with any decision to suspend the operation of any of the foregoing provisions, the executive directors shall call a meeting of the board of governors for the earliest practicable date.
(c) The executive directors way not extend any suspension beyond one hundred twenty days. Such suspension may be extended, however, for an additional period of not more than two hundred forty days, if the board of governors by a four-fifths majority of the total voting power so decides, but it may not be further extended except by amendment of this Agreement pursuant to article XVII.
(d) The executive directors may, by a majority of the total voting power, terminate such suspension at any time.
(a) The Fund may not be liquidated except by decision of the board of governors. In an emergency, if the executive directors decide that liquidation of the Fund may be necessary, they may temporarily suspend all transactions, pending decision by the board.
(b) If the board of governors decides to liquidate the Fund shall forthwith cease to engage in any activities except those incidental to the orderly collection and liquidation of its assets and the settlement of its liabilities, and all obligations of members under this Agreement shall cease except those set out in this article, in article XVIII, paragraph (c), in Schedule D, paragraph 7, and in Schedule E.
(c) Liquidation shall be administered in accordance with the provisions of Schedule E.
(a) Any proposal to introduce modifications in this Agreement, whether emanating from a member, a governor or the executive directors, shall be communicated to the chairman of the board of governors who shall bring the proposal before the board. If the proposed amendment is approved by the board the Fund shall, by circular letter or telegram, ask all members whether they accept the proposed amendment. When three-fifths of the members, having four-fifths of the total voting power, have accepted the proposed amendment, the Fund shall certify the fact by a formal communication addressed to all members.
(b) Notwithstanding (a) above, acceptance by all members is required in the case of any amendment modifying:
(c) Amendments shall enter into force for all members three months after the date of the formal communication unless a shorter period is specified in the circular letter or telegram.
(a) Any question of interpretation of the provisions of this Agreement arising between any member and the Fund or between any members of the Fund shall be submitted to the executive directors for their decision. If the question particularly affects any member not entitled to appoint an executive director it shall be entitled to representation in accordance with article XII, section 3, (j).
(b) In any case where the executive directors have given a decision under (a) above, any member may require that the question be referred to the board of governors, whose decision shall be final. Pending the result of the reference to the board the Fund may, so far as it deems necessary, act on the basis of the decision of the executive directors.
(c) Whenever a disagreement arises between the Fund and a member which has withdraw, or between the Fund and any member during liquidation of the Fund, such disagreement shall be submitted to arbitration by a tribunal of three arbitrators, one appointed by the Fund, another by the member or withdrawing member and an umpire who, unless the parties otherwise agree, shall be appointed by the president of the Permanent Court of International Justice or such other authority as may have been prescribed by regulation adopted by the Fund. The umpire shall full power to settle all questions of procedure in any case where the parties are in disagreement with respect thereto.
In interpreting the provisions of this Agreement the Fund and its members shall be guided by the following:
(a) A member’s monetary reserves means its net official holdings of gold, of convertible currencies of other members, and of the currencies of such non-members as the Fund may specify.
(b) The official holdings of a member means central holdings (that is, the holdings of its Treasury, central bank, stabilization fund, or similar fiscal agency).
(c) The holdings of other official institutions or other banks within its territories may, in any particular case, be deemed by the Fund, after consultation with the member, to be official holdings to the extent that they are substantially in excess of working balances; provided that for the purpose of determining whether, in a particular case, holdings are in excess of working balances, there shall be deducted from such holdings amounts of currency due to official institutions and banks in the territories of members or non-members specified under (d) below.
(d) A member’s holdings of convertible currencies means its holdings of the currencies of other members which are not availing themselves of the transitional arrangements under article XIV, section 2, together with its holdings of the curencies of such non-members as the Fund may from time to time specify. The term currency for this purpose includes without limitation coins, paper money, bank balances, bank acceptances, and government obligations issued with a maturity not exceeding twelve months.
(e) A member’s monetary reserves shall be calculated by deducting from its central holdings the currency liabilities to the treasuries, central banks, stabilization funds, or similar fiscal agencies of other members or non-members specified under (d) above, together with similar liabilities to other official institutions and other banks in the territories of members, or non-members specified under (d) above. To these net holdings shall be added the sums deemed to be official holdings of other official institutions and other banks under (c) above.
(f) The Fund’s holdings of the currency of a member shall include any securities accepted by the Fund under article III, section 5.
(g) The Fund, after consultation with a member which is availing itself of the transitional arrangements under article XIV, section 2, may deem holdings of the currency of that member which carry specified rights of conversion into another currency or into gold to be holdings of convertible currency for the purpose of the calculation of monetary reserves.
(h) For the purpose of calculating gold subscriptions under article III, section 3, a member’s net official holdings of gold and United States dollars shall consist of its official holdings of gold and United States currency after deducting central holdings of its currency by other countries and holdings of its currency by other official institutions and other banks if these holdings carry specified rights of conversion into gold or United States currency.
(i) Payments for current transactions means payments which are not for the purpose of transferring capital, and includes, without limitation:
The Fund may, after consultation with the members concerned, determine whether certain specific transactions are to be considered current transactions or capital transactions.
This Agreement shall enter into force when it has been signed on behalf of governments having sixty-five per cent of the total of the quotas set forth in Schedule A and when the instruments referred to in section 2, (a), of this article have been deposited on their behalf, but in no event shall this Agreement enter into force before May 1, 1945.
(a) Each government on whose behalf this Agreement is signed shall deposit with the Government of the United States of America an instrument setting forth that it has accepted this Agreement in accordance with its law and has taken all steps necessary to enable it to carry out all of its obligations under this Agreement.
(b) Each government shall become a member of the Fund as from the date of the deposit on its behalf of the instrument referred to in (a) above, except that no government shall become a member before this Agreement enters into force under section 1 of this Article.
(c) The Government of the United States of America shall inform the governments of all countries whose names are set forth in Schedule A, and all governments whose membership is approved in accordance with article II, section 2, of all signatures of this Agreement and of the deposit of all instruments referred to in (a) above.
(d) At the time this Agreement is signed on its behalf, each government shall transmit to the Government of the United States of America one one-hundredth of one per cent of this total subscription in gold or United States dollars for the purpose of meeting administrative expenses of the Fund. The Government of the United States of America shall hold such funds in a special deposit account and shall transmit them to the Board of Government of the Fund when the initial meeting has been called under section 3 of this article. If this Agreement has not come into force by December 31, 1945, the Government of the United States of America shall return such funds to the governments that transmitted them.
(e) This Agreement shall remain open for signature at Washington on behalf of the governments of the countries whose names are set forth in Schedule A until December 31, 1945.
(f) After December 31, 1945, this Agreement shall be open for signature on behalf of the government of any country whose membership has been approved in accordance with article II, section 2.
(g) By their signature of this Agreement, all governments accept it both on their own behalf and in respect of all their colonies, overseas territories, all territories under their protection, suzerainty, or authority and all territories in respect of which they exercise a mandate.
(h) In the case of governments whose metropolitan territories have been under enemy occupation, the deposit of the instrument referred to in (a) above may be delayed until one hundred eighty days after the date on which these territories have been liberated. If, however, it is not deposited by any such government before the expiration of this period the signature affixed on behalf of that government shall become void and the portion of its subscription paid under (d) above shall be returned to it.
(i) Paragraphs (d) and (h) shall come into force with regard to each signatory government as from the date of its signature.
(a) As soon as this Agreement enters into force under section 1 of this article, each member shall appoint a governor and the member having the largest quota shall call the first meeting of the board of governors.
(b) At the first meeting of the board of governors, arrangements shall be made for the selection of provisional executive directors. The governments of the five countries for which the largest quotas are set forth in Schedule A shall appoint provisional executive directors. If one or more of such governments have not become members, the executive directorships they would be entitled to fill shall remain vacant until they become members, or until January 1, 1946, whichever is the earlier. Seven provisional executive directors shall be elected in accordance with the provisions of Schedule C and shall remain in office until the date of the first regular election of executive directors which shall be held as soon as practicable after January 1, 1946.
(c) The board of governors may delegate to be provisional executive directors any powers except those which may not be delegated to the executive directors.
(a) When the Fund is of the opinion that it will shortly be in a position to begin exchange transactions, it shall so notify the members and shall request each member to communicate within thirty days the par value of its currency based on the rates of exchange prevailing on the sixtieth day before the entry into force of this Agreement. No member whose metropolitan territory has been occupied by the enemy shall be required to make such a communication while that territory is a theatre of major hostilities or for such period thereafter as the Fund may determine. When such a member communicates the par value of its currency the provisions of (d) below shall apply.
(b) The par value communicated by a member whose metropolitan territory has not been occupied by the enemy shall be the par value of that member’s currency for the purposes of this Agreement unless, within ninety days after the request referred to in (a) above has been received, (i) the member notifies the Fund that it regards the par value as unsatisfactory, or (ii) the Fund notifies the member that in its opinion the par value cannot be maintained without causing recourse to the Fund on the part of that member or others on a scale prejudicial to the Fund and to members. When notification is given under (i) or (ii) above, the Fund and the member shall, within a period determined by the Fund in the light of all relevant circumstances, agree upon a suitable par value for that currency. If the Fund and the member do not agree within the period so determined, the member shall be deemed to have withdrawn from the Fund on the date when the period expires.
(c) When the par value of a member’s currency has been established under (b) above, either by the expiration of ninety days without notification, or by agreement after notification, the member shall be eligible to buy from the Fund the currencies of other members to the full extent permitted in this Agreement, provided that the Fund has begun exchange transactions.
(d) In the case of a member whose metropolitan territory has been occupied by the enemy, the provisions of (b) above shall apply, subject to the following modifications:
(e) If a member whose metropolitan territory has been occupied by the enemy adopts a new monetary unit before the date to be fixed under (d), (i), above, the par value fixed by that member for the new unit shall be communicated to the Fund and the provisions of (d) above shall apply.
(f) Changes in par values agreed with the Fund under this section shall not be taken into account in determining whether a proposed change falls within (i), (ii) or (iii) of article IV, section 5(c).
(g) A member communicating to the Fund a par value for the currency of its metropolitan territory shall simultaneously communicate a value, in terms of that currency, for each separate currency, where such exists, in the territories in respect of which it has accepted this Agreement under section 2 (g) of this article, but no member shall be required to make a communication for the separate currency of a territory which has been occupied by the enemy while that territory is a theatre of major hostilities or for such period thereafter as the Fund may determine. On the basis of the par value so communicated the Fund shall compute the par value of each separate currency. A communication or notification to the Fund under (a), (b) or (d), above, regarding the par value of a currency, shall also be deemed unless the contrary is stated, to be a communication or notification regarding the par value of all the separate currencies referred to above. Any member may, however, make a communication or notification relating to the metropolitan or any of the separate currencies alone. If the member does so, the provisions of the preceding paragraphs [including (d) above, if a territory where a separate currency exists has been occupied by the enemy] shall apply to each of these currencies separately.
(h) The Fund shall begin exchange transactions at such date as it may determine after members having sixty-five per cent of the total of the quotas set forth in Schedule A have become eligible, in accordance with the preceding paragraphs of this section, to purchase the currencies of other members, but in no event until after major hostilities in Europe have ceased.
(i) The Fund may postpone exchange transactions with any member if its circumstances are such that, in the opinion of the Fund, they would lead to use of the resources of the Fund in a manner contrary to the purposes of this Agreement or prejudicial to the Fund or the members.
(j) The par values of the currencies of governments which indicate their desire to become members after December 31, 1945, shall be determined in accordance with the provisions of article II, section 2.
Done at Washington, in a single copy which shall remain deposited in the archives of the Government of the United States of America, which shall transmit certified copies to all governments whose names are set forth in Schedule A and to all governments whose membership is approved in accordance with article II, section 2.

(a) The quota of Denmark shall be determined by the Fund after the Danish Government has declared its readiness sign this Agreement but before signature takes place.
1. In determining the extent to which repurchase of a member’s currency from the Fund under article V, section 7, (b), shall be made with each type of monetary reserve, that is, with gold and with each convertible currency, the following rule, subject to 2 below, shall apply:
2. The Fund shall not acquire the currency of any non-member under article V, section 7,(b) and (c).
3. In calculating monetary reserves and the increase in monetary reserves during any year for the purpose of article V, section 7, (b) and (c), no account shall be taken, unless deductions have otherwise been made by the member for such holdings, of any increase in those monetary reserves which is due to currency previously inconvertible having become convertible during the year; or to holdings which are the proceeds of a long-term or medium-term loan contracted during the year; or to holdings which have been transferred or set aside for repayment of a loan during the subsequent year.
4. In the case of members whose metropolitan territories have been occupied by the enemy, gold newly produced during the five years after the entry into force of this Agreement from mines located within their metropolitan territories shall not be included in computations of their monetary reserves or of increases in their monetary reserves.
1. The election of the elective executive directors shall be by ballot of the governors eligible to vote under article XII, section 3, (b), (iii) and (iv).
2. In balloting for the five directors to be elected under article XII, section 3, (b), (iii), each of the governors eligible to vote shall cast for one person all of the votes to which he is entitled under article XII, section 5, (a). The five persons receiving the greatest number of votes shall be directors, provided that no person who received less than nineteen per cent of the total number of votes that can be cast (eligible votes) shall be considered elected.
3. When five persons are not elected in the first ballot, a second ballot shall be held in which the person who received the lowest number of votes shall be ineligible for election and in which there shall vote only (a) those governors who voted in the first ballot for a person not elected, and (b) those governors whose votes for a person elected are deemed under 4 below to have raised the votes cast for that person above twenty per cent of the eligible votes.
4. In determining whether the votes cast by a governor are to be deemed to have raised the total of any person above twenty per cent of the eligible votes the twenty per cent shall be deemed to include, first, the votes of the governor casting the largest number of votes for such person, then the votes of the governor casting the next largest number, and so on until twenty per cent is reached.
5. Any governor, part of whose votes must be counted in order to raise the total of any person above nineteen per cent shall be considered as casting all of his votes for such person even if the total votes for such person thereby exceed twenty per cent.
6. lf, after the second ballot, five persons have not been elected, further ballots shall be held on the same principles until five persons have been elected, provided that after four persons are elected, the fifth may be elected by a simple majority of the remaining votes and shall be deemed to have been elected by all such votes.
7. The directors to be elected by the American republics under article XII, section 3, (b),(iv), shall be elected as follows:
1. The Fund shall be obligated to pay to a member withdrawing an amount equal to its quota, plus any other amounts due to it from the Fund, less any amounts due to the Fund, including charges accruing after the date of its withdrawal; but no payment shall be made until six months after the date of withdrawal. Payments shall be made in the currency of the withdrawing member.
2. If the Fund’s holdings of the currency of the withdrawing member are not sufficient to pay the net amount due from the Fund, the balance shall be paid in gold, or in other manner as may be agreed. If the Fund and the withdrawing member do not reach agreement withing six months of the date of withdrawal, the currency in question held by the Fund shall be paid forthwith to the withdrawing member. Any balance due shall be paid in ten half-yearly instalments during the ensuing five years. Each such instalment shall be paid, at the option of the Fund, either in the currency of the withdrawing member acquired after its withdrawal or by the delivery of gold.
3. If the Fund fails to meet any instalment which is due in accordance with the preceding paragraphs, the withdrawing member shall be entitled to require the Fund to pay the instalment in any currency held by the Fund with the exception of any currency which has been declared scarce under article VII, section 3.
4. If the Fund’s holdings of the currency of a withdrawing member exceed the amount due do it, and if agreement on the method of settling accounts is not reached within six months of the date of withdrawal, the former member shall be obligated to redeem such excess currency in gold or, at its option, in the currencies of members which at the time of redemption are convertible. Redemption shall be made at the parity existing at the time of withdrawal from the Fund. The withdrawing member shall complete redemption within five years of the date of withdrawal, or within such longer period as may be fixed by the Fund, but shall not be required to redeem in any half-yearly period more than one-tenth of the Fund’s excess holdings of its currency at the date of withdrawal plus further acquisitions of the currency during such half-yearly period. If the withdrawing member does not fulfil this obligation, the Fund may in an orderly manner liquidate in any market the amount of currency which should have been redeemed.
5. Any member desiring to obtain the currency of a member which has withdrawn shall acquire it by purchase from the Fund, to the extent that such member has access to the resources of the Fund and that such currency is available under 4 above.
6. The withdrawing member guarantees the unrestricted use at all times of the currency disposed of under 4 and 5 above for the purchase of goods or for payment of sums due to it or to persons within its territories. It shall compensate the Fund for any loss resulting from the difference between the par value of its currency on the date of withdrawal and the value realized by the Fund on disposal under 4 and 5 above.
7. In the event of the Fund going into liquidation under article XVI, section 2, within six months of the date on which the member withdraws, the account between the Fund and that government shall be setled in accordance with article XVI, section 2, and Schedule E.
1. In the event of liquidation the liabilities of the Fund other than the repayment of subscriptions shall have priority in the distribution of the assets of the Fund. In meeting each such liability the Fund shall use its assets in the following order:
2. After the discharge of the Fund’s liabilities in accordance with 1 above, the balance of the Fund’s assets shall be distributed and apportioned as follows:
3. Each member shall redeem the holdings of its currency apportioned to other members under 2, (c), above, and shall agree with the Fund within three months after a decision to liquidate upon an orderly procedure for such redemption.
4. If a member has not reached agreement with the Fund within the three-month period referred to in 3 above, the Fund shall use the currencies of other members apportioned to that member under 2, (c), above, to redeem the currency of that member apportioned to other members. Each currency apportioned to a member which has not reached agreement shall be used, so far as possible, to redeem its currency apportioned to the members which have made agreements with the Fund under 3 above.
5. If a member has reached agreement with the Fund in accordance with 3 above, the Fund shall use the currencies of other members apportioned to that member under 2, (c), above, to redeem the currency of that member apportioned to other members which have made agreements with the Fund under 3 above. Each amount so redeemed shall be redeemed in the currency of the member to which it was apportioned.
6. After carrying out the preceding paragraphs, the Fund shall pay to each member the remaining currencies held for its account.
7. Each member whose currency has been distributed to other members under 6 above shall redeem such currency in gold or, at its option, in the currency of the member requesting redemption, or in such other manner as may be agreed between them. If the members involved do not otherwise agree, the member obligated to redeem shall compleet redemption within five years of the date of distribution, but shall not be required to redeem in any half-yearly period more than one-tenth of the amount distributed to each other member. If the member does not fulfil this obligation, the amount of currency which should have been redeemed may be liquidated in an orderly manner in any market.
8. Each member whose currency has been distributed to other members under 6 above, guarantees the unrestricted use of such currency at all times for the purchase of goods or for payment of sums due to it or to persons in its territories. Each member so obligated agrees to compensate other members for any loss resulting from the difference between the par value of its currency on the date of the decision to liquidate the Fund and the value realized by such members on disposal of its currency.

É instituído o Fundo Monetário Internacional, que funcionará de acordo com as disposições seguintes:
Os objectivos do Fundo Monetário Internacional são:
Em todas as suas decisões o Fundo será orientado pelos objectivos mencionados no presente artigo.
Os membros originários do Fundo serão os países representados na Conferência Monetária e Financeira das Nações Unidas cujos governos aceitarem ser membros do Fundo antes da data indicada no artigo XX, secção 2, (e).
Será facultada a admissão aos governos de outros países nas datas e de harmonia com os termos que o Fundo estabelecer.
Será fixada uma quota para cada membro. As quotas dos membros representados na Conferência Monetária e Financeira das Nações Unidas que aceitarem ser membros antes da data mencionada no artigo XX, secção 2, (e), serão indicadas no anexo A. As quotas dos outros membros serão determinadas pelo Estado.
O Fundo procederá, de cinco em cinco anos, à revisão das quotas dos membros e, se o julgar oportuno, proporá o seu ajustamento. Poderá também, se o entender útil, considerar, em qualquer outra altura, o ajustamento de determinada quota, a pedido do membro interessado. Todas as modificações das quotas deverão ser aprovadas por maioria de quatro quintos do total dos votos computáveis e nenhuma quota poderá ser modificada sem o consentimento do membro interessado.
(a) A subscrição de cada membro será igual à sua quota e será paga integralmente ao Fundo, no depositário apropriado, até à data em que o membro ficar habilitado, nos termos do artigo XX, secção 4, (c) ou (d), a comprar moedas ao Fundo.
(b) Cada membro pagará em ouro, no mínimo, a menor das importâncias seguintes:
Cada membro fornecerá ao Fundo os elementos de informação necessários para determinar as suas disponibilidades oficiais líquidas em ouro e dólares dos Estados Unidos.
(c) Cada membro pagará a parte restante da sua quota na sua própria moeda.
(d) Se a importância das disponibilidades oficiais líquidas em ouro e dólares dos Estados Unidos de qualquer membro não puder ser determinada na data mencionada no parágrafo (b), (ii), acima, em virtude de os seus territórios terem sido ocupados pelo inimigo, o Fundo fixará uma data alternativa apropriada para a determinação dessas disponibilidades. Se essa data for posterior àquela em que o membro ficar habilitado, nos termos do artigo XX, secção 4, (c) ou (d), a comprar moedas do Fundo, o Fundo e o membro acordarão entre si num pagamento provisório em ouro, a efectuar nos termos do parágrafo (b) acima, e a importância restante da subscrição do membro será paga na moeda deste, sob reserva de se fazer o reajustamento apropriado entre o membro e o Fundo quando forem determinadas as disponibilidades oficiais líquidas.
(a) Cada membro que aceitar um aumento da sua quota pagará ao Fundo, no prazo de 30 dias a contar da data da aceitação, 25 por cento do aumento em ouro e a parte restante na sua própria moeda. Contudo, se na data em que o membro consentir num aumento as suas reservas monetárias forem inferiores à nova quota, o Fundo poderá reduzir a proporção do aumento a pagar em ouro.
(b) Se um membro aceitar uma redução da sua quota, o Fundo pagar-lhe-á, no prazo de 30 dias a contar da data da aceitação, uma importância igual à da redução. O pagamento será feito na moeda do membro e na quantidade de ouro necessária para evitar que as disponibilidades do Fundo nessa moeda se tornem inferiores a 75 por cento da nova quota.
O Fundo aceitará de qualquer membro, em substituição de qualquer parte da moeda desse membro que, no parecer do Fundo, não seja necessária para as suas operações, promissórias ou obrigações análogas emitidas pelo membro ou pelo depositário por este designado nos termos do artigo XIII, secção 2, as quais não serão negociáveis, não vencerão juros e serão pagáveis à vista e ao par, creditando a conta do Fundo no depositário designado. A presente secção não só se aplicará à parte da subscrição dos membros em moeda nacional, mas também a qualquer moeda de outro modo devida ao Fundo ou por este adquirida.
(a) A paridade da moeda de cada membro será expressa em termos de ouro, tomado como denominador comum, ou em termos do dólar dos Estados Unidos, com o peso e toque em vigor em 1 de Julho de 1944.
(b) Todos os cálculos relativos às moedas dos membros, para fins da aplicação das disposições do presente acordo, serão efectuados com base nas suas paridades.
Para as transições em ouro pelos membros, o Fundo fixará uma margem acima e abaixo da paridade, e nenhum membro comprará ouro a preço superior à paridade mais a margem fixada, ou venderá ouro a preço inferior à paridade menos a margem fixada.
A diferença entre a paridade e as cotações máxima e mínima aplicáveis às operações cambiais entre os membros efectuadas nos seus territórios não excederá
(a) Os membros comprometem-se a colaborar com o Fundo na promoção da estabilidade dos câmbios, na manutenção de acordos cambiais regulares com os outros membros e na prevenção de modificações cambiais competitivas.
(b) Cada membro compromete-se, através de medidas apropriadas, conformes com o presente Acordo, a autorizar nos seus territórios operações cambiais entre a sua moeda e as moedas de outros membros somente nos limites prescritos na secção 3 do presente artigo. Todo o membro cujas autoridades monetárias, para a liquidação de transacções internacionais, procedem efectivamente à compra e venda livre de ouro, dentro dos limites prescritos pelo Fundo, nos termos da secção 2 do presente artigo, será considerado cumpridor desta obrigação.
(a) Um membro não proporá uma alteração da paridade da sua moeda, excepto para corrigir um desequilíbrio fundamental.
(b) A paridade da moeda de um membro só poderá ser alterada sob proposta do membro e depois de consulta ao Fundo.
(c) Quando for proposta uma alteração, o Fundo terá primeiro em conta as alterações que porventura se tenham verificado na paridade inicial da moeda do membro, fixada nos termos do artigo XX, secção 4. Se a alteração proposta, juntamente com todas as alterações anteriores, quer se trate de aumentos ou de diminuições,
(d) As alterações uniformes de paridade, realizadas nos termos da secção 7 do presente artigo, não serão tidas em conta para a determinação dos casos em que uma alteração proposta ficará incluída em (i), (ii) ou (iii) do parágrafo (c) acima.
(e) Um membro poderá modificar a paridade da sua moeda sem a concordância do Fundo se a modificação não afectar as transacções internacionais de membros do Fundo.
(f) O Fundo concordará com uma alteração proposta que esteja nas condições de (c), (ii), ou (c), (iii), acima se se convencer de que a alteração é necessária para corrigir um desequilíbrio fundamental. Em particular, desde que tenha adquirido essa convicção, o Fundo não se oporá a uma proposta de alteração determinada por directivas sociais ou políticas internas do membro que propuser a alteração.
Se um membro modificar a paridade da sua moeda apesar da oposição do Fundo, nos casos em que este tem o direito de se opor, o membro perderá a capacidade para utilizar os recursos do Fundo, a menos que o Fundo determine de outro modo; e se, expirado um prazo razoável, a divergência entre o membro e o Fundo se mantiver, a questão ficará sujeita às disposições do artigo XV, secção 2, (b).
Não obstante as disposições da secção 5, (b), do presente artigo, o Fundo poderá, por maioria do total dos votos computáveis, realizar alterações proporcionais uniformes das paridades das moedas de todos os membros, desde que cada uma dessas alterações seja aprovada por todos os membros que dispõem de 10 por cento ou mais do total das quotas. A paridade da moeda de um membro não será, contudo, modificada nos termos destas disposições se, no prazo de 72 horas, a contar da iniciativa do Fundo, o membro informar o Fundo de que não deseja que a paridade da sua moeda seja modificada por essa iniciativa.
(a) O valor-ouro dos haveres do Fundo será mantido não obstante serem alterados a paridade ou o valor externo da moeda de qualquer membro.
(b) Sempre que (i) a paridade da moeda de um membro for reduzida ou que (ii) o valor externo da moeda de um membro tenha, no parecer do Fundo, sofrido uma desvalorização sensível nos territórios desse membro, este pagará ao Fundo, dentro de um prazo razoável, uma importância, na sua própria moeda, igual à redução do valor-ouro da sua moeda em poder do Fundo.
(c) Sempre que a paridade da moeda de um membro for aumentada, o Fundo restituirá a esse membro, dentro de um prazo razoável, uma importância na sua moeda igual ao acréscimo do valor-ouro dessa moeda em poder do Fundo.
(d) As disposições da presente secção serão aplicadas a uma alteração uniforme e proporcional das paridades das moedas de todos os membros, a menos que no momento em que tal alteração for proposta o Fundo decida de outro modo.
Quando um membro propuser uma alteração da paridade da sua moeda, entender-se-á, a menos que ele declare de outro modo, que propõe uma modificação correspondente da paridade das diferentes moedas de todos os territórios relativamente aos quais o membro aceitou o presente Acordo, nos termos do artigo XX, secção 2, (g). Contudo, o membro terá a faculdade de declarar que a sua proposta se refere só à moeda da metrópole ou só a uma ou mais moedas diferentes especificadas ou à moeda da metrópole e a uma ou mais moedas diferentes especificadas.
Os membros só tratarão com o Fundo através do Tesouro, do banco central, do fundo de estabilização ou de outro departamento financeiro análogo e o Fundo tratará apenas com os mesmos departamentos ou através deles.
Salvo disposições em contrário do presente Acordo, as operações próprias do Fundo serão limitadas a transacções destinadas a fornecer a um membro, por iniciativa deste, moeda de outro membro em troca de ouro ou da moeda do membro que deseja realizar a compra.
(a) Um membro terá direito a comprar ao Fundo moeda de outro membro em troca da sua própria moeda, com observância das condições seguintes:
(b) Nenhum membro terá a faculdade, sem autorização do Fundo, de utilizar os recursos do Fundo para adquirir moedas destinadas a servir de cobertura a operações cambiais a prazo.
O Fundo poderá, a seu alvedrio e em termos que salvaguardem os seus interesses, dispensar qualquer das condições prescritas na secção 3, (a), do presente artigo, especialmente no caso de membros que se saiba terem evitado utilizar os recursos do Fundo em larga escala ou continuadamente. Ao conceder uma dispensa de condições, o Fundo terá em consideração as necessidades periódicas ou excepcionais do membro que a solicitou. O Fundo tomará igualmente em consideração a disposição do membro para dar, como garantia subsidiária, ouro, prata, títulos ou outros valores aceitáveis, cuja importância seja suficiente, no parecer do Fundo, para proteger os seus interesses, bem como poderá condicionar a concessão da dispensa à constituição dessa garantia adicional.
Sempre que o Fundo entender que qualquer membro utiliza os recursos do Fundo de forma contrária aos objectivos deste, apresentará ao membro um relatório expondo o ponto de vista do Fundo e estabelecendo um prazo razoável para resposta. Depois de ter apresentado esse relatório a um membro, o Fundo poderá limitar a utilização dos seus recursos por esse membro. Se não for recebida resposta ao relatório dentro do prazo fixado, ou se a resposta continuar a limitar a utilização dos seus recursos pelo membro, ou poderá, após um adequado aviso, declarar esse membro sem capacidade para utilizar os recursos do Fundo.
(a) Qualquer membro que desejar obter, directa ou indirectamente, moeda de outro membro contra ouro deverá, desde que o possa fazer com igual vantagem, adquiri-la mediante a venda de ouro ao Fundo.
(b) Nenhum passo da presente secção será interpretado no sentido de impedir um membro de vender, em qualquer mercado, ouro directamente proveniente da produção de minas situadas nos seus territórios.
(a) Qualquer membro poderá readquirir ao Fundo, e o Fundo venderá contra ouro, qualquer fracção das disponibilidades do Fundo na sua moeda, para além da quota respectiva.
(b) No final de cada exercício financeiro do Fundo cada membro deverá readquirir ao Fundo, contra ouro ou moedas convertíveis, como for determinado, de harmonia com o anexo B, uma fracção das disponibilidades do Fundo na sua moeda, nas condições seguintes:
(c) Nenhum dos reajustamentos descritos no parágrafo (b) acima será levado até ao ponto de:
(a) Qualquer membro que adquira a moeda de outro membro do Fundo em troca da sua própria moeda pagará uma comissão de serviço, uniforme para todos os membros, de 3/4 por cento sobre o preço da paridade. O Fundo poderá, a seu alvedrio, aumentar a comissão de serviço até um máximo de 1 por cento ou reduzi-la até um mínimo de 1/2 por cento.
(b) O Fundo poderá cobrar uma comissão especial razoável a qualquer membro que comprar ou vender ouro ao Fundo.
(c) O Fundo cobrará comissões uniformes a todos os membros, as quais serão pagáveis por cada membro na base da média dos saldos diários na sua moeda, detidos pelo Fundo, para além da quota respectiva. Estas comissões serão fixadas às taxas seguintes:
(d) Sempre que as disponibilidades do Fundo na moeda de um membro sejam tais que a comissão aplicável a qualquer fracção, durante um dado período, atinja a taxa de 4 por cento ao ano, o Fundo e o membro estudarão os meios capazes de reduzir as disponibilidades do Fundo nessa moeda. Daí em diante, as comissões serão aumentadas de acordo com as disposições do parágrafo (c) acima, até atingirem 5 por cento, e, a menos que se estabeleça um acordo, o Fundo poderá então impor a comissão que julgar apropriada.
(e) As taxas indicadas nos parágrafos (c) e (d) acima poderão ser modificadas por maioria de três quartos do total dos votos computáveis.
(f) Todas as comissões serão pagas em ouro. Se, no entanto, as reservas monetárias de um membro forem inferiores a metade da sua quota, esse membro apenas pagará em ouro as comissões que dever numa proporção igual à existente entre as reservas e metade da sua quota e pagará o restante na sua própria moeda.
(a) Os membros não poderão fazer uso líquido dos recursos do Fundo para fazer face a uma saída volumosa ou prolongada de capitais e o Fundo poderá solicitar de um membro que exerça a fiscalização necessária para impedir semelhante utilização dos recursos do Fundo. Se, depois de receber esse pedido, o membro não exercer a fiscalização necessária, o Fundo poderá declarar esse membro sem capacidade para utilizar os recursos do Fundo.
(b) Nenhum passo da presente secção será interpretado no sentido de
Se as disponibilidades do Fundo na moeda de um membro tiverem permanecido abaixo de 75 por cento da quota respectiva durante um período imediatamente anterior, não inferior a seis meses, e se o Fundo não tiver declarado esse membro sem capacidade para utilizar os recursos do Fundo nos termos da secção 1 do presente artigo, do artigo IV, secção 6, do artigo V, secção 5, ou do artigo XV, secção 2, (a), esse membro terá o direito, não obstante as disposições da secção 1, (a), do presente artigo, de comprar ao Fundo moeda de outro membro com a sua própria moeda, para qualquer finalidade, incluindo transferências de capital. Contudo, as aquisições para transferências de capital nos termos da presente secção não serão autorizadas se tiverem por efeito elevar as disponibilidades do Fundo na moeda do membro que deseja realizar a aquisição acima de 75 por cento da sua quota ou reduzir as disponibilidades do Fundo na moeda desejada abaixo de 75 por cento da quota do membro cuja moeda se pretende adquirir.
Os membros poderão exercer as fiscalizações necessárias para regular os movimentos internacionais de capitais, mas nenhum membro poderá exercer essas fiscalizações de forma que restrinja os pagamentos relativos a transacções correntes ou que retarde indevidamente as transferências de fundos para liquidação de compromissos, à excepção do disposto no artigo VII, secção 3, (b), e no artigo XIV, secção 2.
Se o Fundo verificar que se está formando uma escassez geral de uma determinada moeda, poderá informar disso os membros, bem como publicar um relatório expondo as causas da escassez e contendo recomendações destinadas a pôr-lhe termo. Na preparação do relatório participará um representante do membro cuja moeda está em causa.
O Fundo poderá, se o considerar necessário para reconstituir as suas disponibilidades na moeda de um membro, adoptar uma das seguintes medidas ou ambas:
(a) Se se tornar evidente para o Fundo que a procura da moeda de um membro ameaça seriamente a sua capacidade de oferta dessa moeda, o Fundo deverá declarar oficialmente essa moeda escassa, independentemente da publicação do relatório referido na secção 1 do presente artigo, bem como, desse momento em diante, repartirá as disponibilidades existentes na moeda escassa, e as que vier a perceber, tendo em devida consideração as necessidades relativas dos membros, a situação económica internacional geral e quaisquer outros factores pertinentes. O Fundo deverá também publicar um relatório sobre as medidas que adoptar.
(b) A declaração formal nos termos do parágrafo (a) acima constituirá autorização para qualquer membro impor temporariamente, e após consulta ao Fundo, limitações à liberdade das operações cambiais na moeda escassa. Sob reserva das disposições do artigo IV, secções 3 e 4, o membro terá plena competência para a determinação da natureza dessas limitações, mas estas não serão mais restritivas do que o necessário para ajustar a procura da moeda escassa às respectivas disponibilidades que o membro em questão possua ou venha a perceber; e deverão ser atenuadas e revogadas logo que as condições o permitam.
(c) A autorização nos termos do parágrafo (b) acima terminará desde que o Fundo declare oficialmente que a moeda em questão deixou de ser escassa.
Todos os membros que impuserem restrições à moeda de qualquer outro membro, de acordo com as disposições da secção 3, (b), do presente artigo, deverão considerar compreensivamente quaisquer exposições apresentadas pelo outro membro relativas à aplicação dessas restrições.
Os membros concordam em não invocar as obrigações derivadas de quaisquer compromissos celebrados com outros membros anteriormente ao presente Acordo, de modo que dificulte a aplicação das disposições do presente artigo.
Além das obrigações assumidas nos termos de outros artigos do presente Acordo, cada membro assume as obrigações estipuladas no presente artigo.
(a) Sob reserva das disposições do artigo VII, secção 3, (b), e artigo XIV, secção 2, nenhum membro poderá impor, sem a aprovação do Fundo, restrições a pagamentos e transferências relativos a transacções internacionais correntes.
(b) Os contratos de câmbio que envolvam a moeda de um membro e que sejam contrários à regulamentação cambial que esse membro mantenha ou imponha, em conformidade com o presente Acordo, não serão executórios nos territórios de nenhum membro. Além disso, os membros poderão, por acordo mútuo, cooperar em medidas destinadas a tornar mais eficaz a regulamentação cambial de qualquer membro, desde que essas medidas e regulamentações sejam compatíveis com o presente Acordo.
Nenhum membro recorrerá, nem permitirá que qualquer dos seus departamentos financeiros, indicados no artigo V, secção 1, recorra a quaisquer arranjos monetários discriminatórios ou práticas de câmbios múltiplos, excepto quando autorizados, nos termos do presente Acordo, ou aprovados pelo Fundo. Se existirem tais arranjos e práticas na data de entrada em vigor do presente Acordo, o membro em questão consultará o Fundo sobre a eliminação progressiva dos mesmos, a menos que eles sejam mantidos ou impostos nos termos do artigo XIV, secção 2, caso em que serão aplicadas as disposições da secção 4 desse artigo.
(a) Cada membro adquirirá os saldos na sua própria moeda em poder de outro membro se este último, ao solicitar essa aquisição, demonstrar
O membro adquirente poderá optar pela efectivação do pagamento na moeda do membro que o solicitou ou em ouro.
(b) A obrigação consignada no parágrafo (a) acima não se aplicará
(a) O Fundo poderá solicitar dos membros o fornecimento de quaisquer informações que considere necessárias para as suas operações, inclusive, como mínimo necessário para o desempenho eficiente das funções do Fundo, os seguintes dados referentes aos países respectivos:
(b) Ao solicitar informações, o Fundo terá em conta o grau em que os membros terão possibilidade de fornecer os dados pedidos. Os membros não serão obrigados a fornecer informações de tal forma pormenorizadas que divulguem assuntos de carácter privado de particulares ou sociedades. Os membros comprometem-se, contudo, a fornecer as informações desejadas de forma tão pormenorizada e precisa quanto praticamente possível e a evitar fornecer simples estimativas, na medida do possível.
(c) O Fundo poderá procurar obter informações suplementares mediante acordo com membros. O Fundo actuará como centro de recolha e troca de informações sobre os problemas monetários e financeiros, facilitando deste modo a preparação de estudos destinados a auxiliar os membros na realização de políticas adequadas aos objectivos do Fundo.
Quando, nos termos do presente Acordo, um membro for autorizado, nas condições especiais ou temporárias especificadas no mesmo, a manter ou estabelecer restrições às operações cambiais e existam outros compromissos entre os membros anteriores ao presente Acordo, cujas disposições estejam em conflito com a aplicação de tais restrições, as partes contratantes de tais compromissos consultar-se-ão entre si com vista a efectuar os ajustamentos mutuamente aceitáveis que possam ser necessários. As disposições do presente artigo não prejudicarão a aplicação das disposições do artigo VII, secção 5.
Em todos os territórios dos membros serão concedidos ao Fundo, para que possa desempenhar as funções que lhe são confiadas, o estatuto, imunidades e privilégios definidos no presente artigo.
O Fundo terá plena personalidade jurídica e, em especial, capacidade para:
O Fundo, seus bens e valores, qualquer que seja o lugar onde se encontrem e seja quem for o seu detentor, gozarão de imunidade de qualquer forma de processo judicial, excepto na medida em que o Fundo expressamente prescindir dessa imunidade, para os efeitos de quaisquer processos ou nos termos de qualquer contrato.
Os bens e valores do Fundo, qualquer que seja o lugar onde se encontrem e seja quem for o seu detentor, serão imunes de busca, requisição, confisco, expropriação ou qualquer outra forma de apreensão por acto do Poder Executivo ou do Poder Legislativo.
Os arquivos do Fundo serão invioláveis.
Na medida necessária para a realização das operações previstas no presente Acordo, todos os bens e valores do Fundo serão livres de restrições, regulamentações, fiscalizações e moratórias de qualquer natureza.
Os membros concederão às comunicações oficiais do Fundo o mesmo tratamento que às comunicações oficiais dos outros membros.
Todos os governadores, directores executivos, suplentes, agentes e empregados do Fundo:
(a) O Fundo, os seus valores, bens e rendimentos, bem como as suas operações e transacções autorizadas por este Acordo, serão isentos de todos os impostos e de todos os direitos aduaneiros. O Fundo ficará também isento de obrigações relativas à cobrança ou pagamento de qualquer imposto ou direito.
(b) Os vencimentos e emolumentos pagos pelo Fundo aos seus directores executivos, suplentes, agentes e empregados que não sejam cidadãos, súbditos ou nacionais do país onde exerçam as suas funções serão isentos de impostos.
(c) As obrigações e títulos emitidos pelo Fundo, incluindo os respectivos dividendos ou juros, e seja quem for o seu detentor, não serão sujeitos a tributação de qualquer natureza:
Cada membro deverá adoptar, nos seus próprios territórios, todas as medidas necessárias para introduzir na sua própria legislação os princípios prescritos neste artigo, e informará o Fundo, em pormenor, das medidas que tiver adoptado.
O Fundo cooperará, nos termos do presente Acordo, com todas as organizações internacionais gerais e com todas as organizações públicas internacionais que exerçam funções especializadas em sectores relacionados com o seu. Quaisquer arranjos destinados a promover essa cooperação que impliquem alteração de qualquer disposição do presente Acordo só poderão ser efectuados após a emenda do mesmo, nos termos do artigo XVII.
Cada membro compromete-se:
O direito de qualquer membro impor restrições às operações cambiais com países não membros ou com residentes nos seus territórios não será afectado por nenhuma disposição do presente Acordo, excepto se o Fundo entender que tais restrições prejudicam os interesses dos membros e são contrárias aos objectivos do Fundo.
O Fundo terá um conselho de governadores, directores executivos, um director-geral e um quadro de funcionários.
(a) Todos os poderes do Fundo serão atribuídos ao conselho de governadores, composto de um governador e de um suplente, nomeados por cada membro pela forma que o mesmo determinar. Os governadores e suplentes permanecerão no exercício das suas funções durante cinco anos, a menos que o membro que fizer a nomeação decida de outro modo, e poderão ser reconduzidos. Nenhum suplente poderá votar, excepto na ausência do respectivo titular. O conselho escolherá um dos governadores para seu presidente.
(b) O conselho de governadores poderá delegar nos directores executivos o exercício de todos os seus poderes, à excepção dos poderes para:
(c) O conselho de governadores realizará uma reunião anual, bem como todas as outras reuniões que forem decididas pelo conselho ou convocadas pelos directores executivos. Os directores convocarão o conselho sempre que cinco membros ou os membros que detenham um quarto do total dos votos computáveis o solicitem.
(d) O quórum para qualquer sessão do conselho de governadores será constituído por uma maioria de governadores que disponha de, pelo menos, dois terços do total dos votos computáveis.
(e) Cada governador disporá do número de votos atribuídos, nos termos da secção 5 do presente artigo, ao membro que o tiver nomeado.
(f) O conselho dos governadores poderá instituir, por regulamento, um processo que permita aos directores executivos obter, sem convocação do conselho, um voto de governadores, sobre uma questão determinada, sempre que o julguem conforme aos interesses do Fundo.
(g) O conselho de governadores e os directores executivos, na medida autorizada, poderão adoptar as regras e regulamentos que forem necessários ou apropriados para conduzir as operações do Fundo.
(h) As funções de governador e de suplente não serão remunerados pelo Fundo, mas o Fundo pagará aos governadores e suplentes a importância das despesas que realizarem, nos limites que forem razoáveis, para assistir às reuniões.
(i) O conselho de governadores determinará a remuneração a pagar aos directores executivos e o vencimento e termos de contrato de prestação de serviços do director-geral.
(a) Os directores executivos serão responsáveis pela execução das operações gerais do Fundo e, para este fim, exercerão todos os poderes que o conselho de governadores neles delegar.
(b) Os directores, que não serão obrigatoriamente governadores, serão em número não inferior a doze, e deles:
Para os fins do presente parágrafo, entendem-se por «membros» os governos dos países mencionados no anexo A, quer estes se tornem membros de harmonia com o artigo XX ou de harmonia com o artigo II, secção 2. Quando governos de outros países se tornarem membros, o conselho de governadores poderá, mediante aprovação por maioria de quatro quintos do total dos votos computáveis, aumentar o número de directores executivos a eleger.
(c) Se, na segunda eleição ordinária de directores e daí em diante, não estiverem incluídos entre os membros com direito a nomear directores, nos termos da alínea (i) do parágrafo (b) acima, os dois membros cujas moedas em poder do Fundo tiverem sofrido, relativamente à média dos dois anos anteriores, a maior redução absoluta abaixo das quotas respectivas, calculada em ouro tomado como denominador comum, qualquer desses membros ou ambos, conforme o caso, terá o direito de nomear um director.
(d) Sob reserva das disposições do artigo XX, secção 3, (b), as eleições de directores a escolher por esse processo realizar-se-ão de dois em dois anos, de acordo com as disposições do anexo C, completadas pelos regulamentos que o Fundo julgue apropriados. Sempre que o conselho de governadores aumentar o número de directores a eleger nos termos do parágrafo (b) acima, fará, por regulamento, as modificações apropriadas na proporção dos votos necessários para a eleição de directores de acordo com as disposições do anexo C.
(e) Cada director nomeará um suplente com plenos poderes para agir em seu nome quando não estiver presente. Quando os directores que tiverem nomeado suplentes estiverem presentes, estes poderão participar nas reuniões, mas não terão direito a voto.
(f) Os directores continuarão em exercício até serem nomeados ou eleitos os seus sucessores. Se o lugar de qualquer director eleito ficar vago mais de 90 dias antes da expiração do mandato, será eleito outro director para o período restante do mandato pelos membros que tiverem eleito o director precedente. A eleição será realizada por maioria de votos. Enquanto o lugar permanecer vago, o suplente do director anterior exercerá os poderes deste, excepto os respeitantes à nomeação de um suplente.
(g) A direcção executiva funcionará em sessão contínua na sede do Fundo e reunir-se-á tantas vezes quantas as requeridas pelas operações do Fundo.
(h) O quórum para qualquer reunião de directores executivos será constituído por uma maioria de directores que represente, pelo menos, metade do total dos votos computáveis.
(i) Cada director nomeado disporá do número de votos atribuídos, nos termos da secção 5 do presente artigo, ao membro que o tiver nomeado. Cada director eleito disporá do número de votos que contaram para a sua eleição. Quando se aplicarem as disposições da secção 5, (b), do presente artigo, o número de votos de que um director poderia dispor noutras condições deverá aumentar ou diminuir em correspondência com essas disposições. Todos os votos de que um director dispuser serão utilizados em bloco.
(j) O conselho de governadores adoptará os regulamentos que possibilitem a um membro sem direito a nomear um director, nos termos do parágrafo (b) acima, enviar um representante para assistir a qualquer reunião dos directores executivos em que seja examinado um pedido feito por esse membro ou um assunto que particularmente o afecte.
(k) Os directores executivos poderão constituir as comissões que entendam aconselháveis. A participação nestas comissões não será necessariamente limitada aos governadores, aos directores ou aos seus suplentes.
(a) Os directores executivos escolherão um director-geral, que não poderá ser nenhum dos governadores ou dos directores executivos. O director-geral presidirá às reuniões dos directores executivos, mas não terá direito de voto, excepto de voto de desempate. Poderá participar nas sessões do conselho de governadores, mas não terá o direito de voto nessas sessões. O director-geral cessará as suas funções quando os directores executivos o decidirem.
(b) O director-geral será o chefe do pessoal executivo do Fundo e orientará, sob a direcção dos directores executivos, as operações correntes do Fundo. Será responsável, sob a fiscalização geral dos directores executivos, pela organização dos serviços, assim como pela nomeação e demissão dos funcionários do Fundo.
(c) No exercício das suas funções, o director-geral e o pessoal do Fundo estarão subordinados exclusivamente ao Fundo e a nenhuma outra autoridade. Os membros do Fundo respeitarão o carácter internacional destas funções e abster-se-ão de qualquer tentativa de influência sobre qualquer membro do pessoal no exercício das suas funções.
(d) Ao proceder à nomeação dos funcionários, o director-geral deverá, tendo em conta a importância primordial de assegurar o mais elevado nível de eficiência e competência técnica, tomar em devida consideração a importância de recrutar funcionários numa base geográfica tão extensa quanto possível.
(a) Cada membro terá 250 votos e um voto adicional por cada fracção da sua quota equivalente a 100 000 dólares dos Estados Unidos.
(b) Sempre que se proceder à votação, nos termos do artigo V, secção 4 ou secção 5, cada membro disporá do número de votos a que tiver direito, nos termos do parágrafo (a) acima, o qual será reajustado
entendendo-se que em nenhuma ocasião a importância líquida das compras ou das vendas será considerada como excedendo uma importância igual à quota do membro de que se trata.
(c) Em todos os cálculos previstos na presente secção, o dólar dos Estados Unidos será considerado com o peso e toque em vigor em 1 de Julho de 1944, ajustado de acordo com qualquer alteração uniforme realizada nos termos do artigo IV, secção 7, se for feita uma dispensa ao abrigo das disposições da secção 8, (d), desse artigo.
(d) Salvo expressa disposição em contrário, todas as decisões do Fundo serão adoptadas por maioria dos votos.
(a) O conselho de governadores determinará anualmente a parte do rendimento líquido do Fundo a afectar às reservas, e a parte deste, se existir, que será distribuída.
(b) Se se fizer uma distribuição do rendimento líquido, será atribuída a cada membro, em primeiro lugar, uma importância não cumulativa equivalente a 2 por cento do quantitativo pelo qual 75 por cento da sua quota excederem as disponibilidades médias do Fundo na moeda respectiva, durante o ano. O remanescente será distribuído entre todos os membros na proporção das suas quotas. Os pagamentos serão feitos a cada membro na sua própria moeda.
(a) O Fundo publicará um relatório anual contendo um balanço das suas contas devidamente verificado e, pelo menos de três em três meses, publicará um balancete sumário das suas operações e disponibilidades em ouro e nas moedas dos membros.
(b) O Fundo poderá publicar outros relatórios que entenda desejáveis para a prossecução dos seus objectivos.
O Fundo terá o direito de, em qualquer ocasião, comunicar oficiosamente aos membros o seu parecer sobre qualquer questão suscitada no âmbito do presente Acordo. O Fundo poderá, por maioria de dois terços do total dos votos computáveis, decidir publicar um relatório dirigido a um membro, respeitante à evolução da situação monetária ou económica desse membro, que tenda a provocar directamente um sério desequilíbrio na balança internacional de pagamentos dos membros. Se o membro não tiver o direito de nomear um director executivo, poderá fazer-se representar como previsto na secção 3, (j), do presente artigo. O Fundo não publicará nenhum relatório respeitante a alterações da estrutura fundamental da organização económica dos membros.
A sede do Fundo ficará situada no território do membro que tenha a quota mais elevada, e poderão ser estabelecidas agências ou sucursais nos territórios de outros membros.
(a) Cada país membro designará o seu banco central como depositário de todas as disponibilidades do Fundo na sua moeda ou, se não tiver banco central, designará outra instituição susceptível de ser aceite pelo Fundo.
(b) O Fundo poderá manter outras disponibilidades, incluindo ouro, nos depositários designados pelos cinco membros com as maiores quotas, bem como em outros depositários designados que o Fundo poderá escolher. Inicialmente, pelo menos metade das disponibilidades do Fundo serão colocadas no depositário designado pelo membro em cujos territórios estiver situada a sede do Fundo e pelo menos 40 por cento serão colocados nos depositários designados pelos restantes quatro membros acima referidos. Contudo, todas as transferências de ouro a que o Fundo proceder serão efectuadas tendo em devida consideração o custo do transporte e as necessidades previstas do Fundo. Em caso de emergência, os directores executivos poderão transferir a totalidade ou parte das disponibilidades em ouro do Fundo para qualquer lugar onde a sua protecção possa ser convenientemente assegurada.
Cada membro garantirá todos os valores do Fundo contra qualquer perda resultante de insolvência ou mora do depositário por ele designado.
O Fundo não tem por objectivo fornecer meios para assistência ou para reconstrução ou tratar dos problemas relativos às dívidas internacionais resultantes da guerra.
No período de transição do após-guerra, os membros poderão, não obstante as disposições de quaisquer outros artigos do presente acordo, manter ou adaptar à evolução das circunstâncias (e, no caso de membros cujos territórios tiverem sido ocupados pelo inimigo, introduzir, se necessário) restrições aos pagamentos e transferências relativos a transacções internacionais correntes. Contudo, os membros deverão ter sempre presentes na sua política cambial os objectivos do Fundo; e, logo que as condições o permitam, adoptarão todas as medidas possíveis com o fim de estabelecer com outros membros os acordos comerciais e financeiros que facilitem os pagamentos internacionais e a manutenção da estabilidade dos câmbios. Os membros deverão, em particular, suprimir as restrições mantidas ou impostas nos termos da presente secção logo que adquiram a certeza de poderem, sem elas, equilibrar as suas balanças de pagamentos de maneira a não dificultar excessivamente o seu acesso aos recursos do Fundo.
Cada membro notificará o Fundo, antes de ter a faculdade de adquirir moedas ao Fundo, nos termos do artigo XX, secção 4, (c) ou (d), se pretende prevalecer-se das disposições transitórias previstas na secção 2 do presente artigo ou se está em condições de assumir as obrigações do artigo VIII, secções 2, 3 e 4. Se um membro recorrer às disposições transitórias, deverá notificar o Fundo logo que estiver preparado para assumir as obrigações referidas acima.
Até três anos após a data em que o Fundo iniciar as suas operações, e anualmente daí em diante, o Fundo apresentará um relatório sobre as restrições ainda em vigor nos termos da secção 2 deste artigo. Cinco anos depois da data em que o Fundo iniciar as suas operações, e anualmente daí em diante, qualquer membro que ainda mantenha restrições incompatíveis com o artigo VIII, secções 2, 3 e 4, deverá consultar o Fundo sobre a manutenção destas. O Fundo, se o julgar necessário, em condições excepcionais poderá observar a qualquer membro que as condições são favoráveis para a supressão de determinada restrição especial ou para a revogação de todas as restrições incompatíveis com as disposições de qualquer outro artigo do presente acordo. Os membros disporão de um prazo razoável para responder a estas observações. Se o Fundo entender que o membro persiste na manutenção de restrições incompatíveis com os objectivos do Fundo, o membro ficará sujeito às disposições do artigo XV, secção 2, (a).
Nas suas relações com os membros, o Fundo reconhecerá o facto de que o período transitório do após-guerra será um período de modificações e ajustamentos e, ao tomar decisões sobre os pedidos que lhe forem apresentados por um membro em consequência dessa situação, concederá a esse membro toda a benevolência que for razoável dispensar.
Qualquer membro poderá retirar-se do Fundo, em qualquer ocasião, mediante notificação escrita da sua decisão transmitida ao Fundo, na sua sede. A retirada terá efeito a partir da data em que for recebida a notificação.
(a) Se um membro deixar de cumprir qualquer das obrigações impostas pelo presente Acordo, o Fundo poderá privar esse membro da capacidade para utilizar os recursos do Fundo. Nenhuma disposição da presente secção deverá ser interpretada como limitação da aplicação das disposições do artigo IV, secção 6, do artigo V, secção 5, ou do artigo VI, secção 1.
(b) Se, após a expiração de um período razoável, o membro persistir no não cumprimento de qualquer das obrigações impostas pelo presente Acordo, ou se uma divergência relativamente ao artigo IV, secção 6, persistir entre um membro e o Fundo, esse membro poderá ser convidado a retirar-se do Fundo por decisão do conselho de governadores adoptada por maioria dos governadores que representem a maioria do total dos votos computáveis.
(c) Serão adoptadas disposições regulamentares para assegurar que, antes de ser empreendida qualquer acção contra um membro, nos termos dos parágrafos (a) e (b) acima, esse membro seja informado, dentro de um prazo razoável, da reclamação contra ele formulada e lhe seja concedida oportunidade para expor o seu caso, tanto oralmente como por escrito.
Quando um membro se retirar do Fundo, terminarão as operações normais do Fundo na sua moeda, e a liquidação de todas as contas existentes entre o membro e o Fundo será realizada com brevidade razoável, por acordo entre ele e o Fundo. Se não se chegar rapidamente a acordo, serão aplicadas as disposições do anexo D para a liquidação das contas.
(a) Em caso de emergência ou de ocorrência de circunstâncias imprevistas que ameacem o funcionamento do Fundo, os directores executivos poderão suspender, mediante votação por unanimidade, por um período não superior a 120 dias, a aplicação de qualquer das disposições seguintes:
(b) Ao decidir a suspensão da aplicação de qualquer das disposições precedentes, os directores executivos convocarão simultaneamente uma reunião do conselho de governadores para a data mais próxima possível.
(c) Os directores executivos não poderão prorrogar qualquer suspensão para além de 120 dias. Contudo, essa suspensão poderá ser prorrogada por um período adicional não superior a 240 dias se o conselho de governadores assim o decidir mediante votação por maioria de quatro quintos do total dos votos computáveis, mas não poderá ser prorrogada para além deste período, excepto mediante emenda do presente Acordo, de harmonia com o artigo XVII.
(d) Os directores executivos poderão cessar essa suspensão, em qualquer momento, mediante deliberação por maioria dos votos computáveis.
(a) O Fundo não poderá ser liquidado, excepto por decisão do conselho de governadores. Em caso de emergência, se os directores executivos decidirem que a liquidação do Fundo pode ser necessária, poderão temporariamente suspender todas as operações, até que o conselho se pronuncie.
(b) Se o conselho de governadores decidir liquidar o Fundo, o Fundo cessará imediatamente as suas actividades, excepto as relacionadas com o ordenado apuramento e liquidação dos seus valores e o pagamento das suas responsabilidades, e todas as obrigações impostas aos membros nos termos do presente Acordo cessarão, à excepção das enunciadas no presente artigo, no artigo XVIII, parágrafo (c), no anexo D, parágrafo 7, e no anexo E.
(c) A liquidação será efectuada segundo as disposições do anexo E.
(a) Qualquer proposta de alteração do presente Acordo, quer seja feita por um membro, por um governador ou pelos directores executivos, será comunicada ao presidente do conselho de governadores, que a apresentará ao conselho. Se a emenda proposta for aprovada pelo conselho, o Fundo deverá, por carta-circular ou telegrama, perguntar a todos os membros se aceitam a emenda proposta. Desde que três quintos dos membros, dispondo de quatro quintos do total dos votos computáveis, aceitem a emenda proposta, o Fundo confirmará o facto por uma comunicação formal dirigida a todos os membros.
(b) Não obstante as disposições do parágrafo (a) acima, será exigida a anuência de todos os membros de qualquer emenda que modifique
(c) As emendas entrarão em vigor para todos os membros três meses depois da data da comunicação formal, excepto se na carta-circular ou telegrama se fixar um prazo mais curto.
(a) Qualquer questão de interpretação das disposições do presente Acordo que surgir entre qualquer membro e o Fundo ou entre quaisquer membros do Fundo será submetida à decisão dos directores executivos. Se a questão afectar especialmente um membro que não possua o direito de nomear um director executivo, ele terá direito de fazer-se representar de harmonia com o artigo XII, secção 3, (j).
(b) Em qualquer caso em que os directores executivos tiverem tomado uma decisão ao abrigo do parágrafo (a) acima, qualquer membro poderá solicitar que a questão seja submetida ao conselho de governadores, de cuja decisão não haverá recurso. Enquanto o conselho se não tiver pronunciado, o Fundo poderá, se o julgar necessário, agir segundo a decisão dos directores executivos.
(c) Sempre que surja desacordo entre o Fundo e um membro que se retirou ou entre o Fundo e qualquer membro durante a liquidação do Fundo, esse desacordo será submetido à arbitragem de um tribunal constituído por três árbitros, um nomeado pelo Fundo, outro pelo membro ou pelo membro demissionário e um árbitro de desempate nomeado, salvo acordo em contrário entre as partes, pelo presidente do Tribunal Permanente de Justiça Internacional ou qualquer outra autoridade indicada por regulamento adoptado pelo Fundo. O árbitro de desempate terá plenos poderes para resolver todas as questões de processo em qualquer caso em que as partes estiverem em desacordo a tal respeito.
Na interpretação das disposições do presente Acordo, o Fundo e os seus membros serão orientados pelo seguinte:
(a) Entendem-se por reservas monetárias de um membro as suas disponibilidades líquidas oficiais em ouro, moedas convertíveis de outros membros e moedas dos países não membros que o Fundo determinar.
(b) Entendem-se por disponibilidades oficiais de um membro as suas disponibilidades centrais (isto é, as disponibilidades do Tesouro, banco central, fundo de estabilização ou outro departamento financeiro análogo).
(c) As disponibilidades existentes noutras instituições oficiais ou noutros bancos nos territórios de um membro poderão, em qualquer caso particular, ser consideradas pelo Fundo, após consulta ao membro, como disponibilidades oficiais, na medida em que ultrapassem de forma substancial a importância dos fundos de maneio; entendendo-se que, para determinar se as disponibilidades excedem, num caso particular, os fundos de maneio, deverão deduzir-se de tais disponibilidades as importâncias em moeda devidas a instituições oficiais ou bancos situados nos territórios dos membros ou dos países não membros especificados no parágrafo (d) abaixo.
(d) Entendem-se por disponibilidades em moedas convertíveis de um membro as suas disponibilidades em moedas de outros membros que não estejam a prevalecer das disposições transitórias do artigo XIV, secção 2, bem como as suas disponibilidades em moedas dos países não membros que o Fundo de tempos a tempos designar. Para este efeito, o termo «moeda» designará, sem qualquer restrição, a moeda metálica, o papel-moeda, os saldos bancários, os aceites bancários e os títulos da dívida pública de prazo não superior a doze meses.
(e) As reservas monetárias de um membro serão calculadas deduzindo das suas disponibilidades centrais as responsabilidades em moeda para com o Tesouro, os bancos centrais, os fundos de estabilização ou departamentos financeiros análogos de outros membros ou de países não membros especificados, nos termos do parágrafo (d) acima, bem como as responsabilidades da mesma natureza para com outras instituições oficiais ou outros bancos situados nos territórios de membros ou de países não membros especificados, nos termos do parágrafo (d) acima. A estas disponibilidades líquidas serão adicionadas as importâncias consideradas como disponibilidades oficiais de outras instituições oficiais e de outros bancos, nos termos do parágrafo (c) acima.
(f) As disponibilidades do Fundo na moeda de um membro incluirão todos os títulos aceites pelo Fundo, nos termos do artigo III, secção 5.
(g) O Fundo, depois de consultar um membro que esteja a prevalecer-se das disposições transitórias do artigo XIV, secção 2, poderá, para efeito do cálculo das reservas monetárias, considerar as disponibilidades na moeda desse membro como disponibilidades em moeda convertível, se essas disponibilidades comportarem direitos bem definidos de conversão noutra moeda ou em ouro.
(h) Para efeito do cálculo das subscrições em ouro, nos termos do artigo III, secção 3, as disponibilidades oficiais líquidas de um membro em ouro e dólares dos Estados Unidos serão constituídas pelas suas disponibilidades oficiais em ouro e na moeda dos Estados Unidos depois de deduzidas as disponibilidades centrais na sua moeda detidas por outros países e as disponibilidades na sua moeda detidas por outras instituições oficiais e outros bancos, se essas disponibilidades comportarem direitos bem definidos de conversão em ouro ou na moeda dos Estados Unidos.
(i) Entendem-se por pagamentos relativos a operações correntes os pagamentos que não têm por objectivo transferir capitais e, inclusivamente, sem qualquer limitação:
O Fundo poderá, após consulta aos membros interessados, decidir se determinadas operações deverão ser consideradas como transacções correntes ou como operações de capital.
O presente Acordo entrará em vigor quando tiver sido assinado em nome de governos totalizando 65 por cento do total das quotas enumeradas no anexo A e quando os instrumentos a que se refere a secção 2, (a), do presente artigo tiverem sido depositados em seu nome; porém, em caso algum o presente Acordo entrará em vigor antes de 1 de Maio de 1945.
(a) Cada governo em cujo nome o presente Acordo for assinado depositará, junto do Governo dos Estados Unidos da América, um instrumento pelo qual declare que aceitou o presente Acordo em conformidade com a sua legislação e tomou todas as medidas necessárias para o habilitar a dar cumprimento a todas as obrigações impostas pelo presente Acordo.
(b) Cada governo tornar-se-á membro do Fundo a partir da data do depósito, em seu nome, do instrumento a que se refere o parágrafo (a) acima, sob reserva de que nenhum governo se tornará membro antes de o presente Acordo entrar em vigor, nos termos da secção 1 do presente artigo.
(c) O Governo dos Estados Unidos da América informará os governos de todos os países cujos nomes figurem no anexo A e todos os governos cuja adesão for aprovada em conformidade com o artigo II, secção 2, de todas as assinaturas do presente Acordo e do depósito de todos os instrumentos a que se refere o parágrafo (a) acima.
(d) Cada governo deverá entregar ao Governo dos Estados Unidos da América, no momento da assinatura, em seu nome, do presente Acordo, a centésima parte de 1 por cento da sua subscrição total, em ouro ou dólares dos Estados Unidos, a fim de contribuir para as despesas administrativas do Fundo. O Governo dos Estados Unidos da América conservará esses fundos numa conta de depósito especial e transmiti-los-á ao conselho de governadores do Fundo quando a reunião inicial tiver sido convocada, nos termos da secção 3 do presente artigo. Se o presente Acordo não tiver entrado em vigor em 31 de Dezembro de 1945, o Governo dos Estados Unidos da América restituirá esses fundos aos governos que lhos tiverem entregado.
(e) O presente Acordo ficará aberto para assinatura em Washington, em nome dos governos dos países cujos nomes figuram no anexo A, até 31 de Dezembro de 1945.
(f) Depois de 31 de Dezembro de 1945, o presente Acordo ficará aberto para assinatura em nome dos governos de quaisquer países cuja adesão tiver sido aprovada em conformidade com o artigo II, secção 2.
(g) Todos os governos, pelo facto de assinarem o presente Acordo, aceitam-no em seu próprio nome e no que respeita a todas as suas colónias, territórios ultramarinos e todos os territórios sob a sua protecção, soberania ou autoridade, e a todos os territórios relativamente aos quais exerçam um mandato.
(h) No caso dos governos cujos territórios metropolitanos tiverem sido ocupados pelo inimigo, o depósito do instrumento citado no parágrafo (a) acima poderá ser adiado até 180 dias após a data em que esses territórios tiverem sido libertados. Contudo, se o instrumento referido não for depositado por qualquer governo nestas condições, antes da expiração deste prazo, a assinatura aposta em nome desse governo ficará sem efeito, e a parte da subscrição paga, nos termos do parágrafo (d) acima, ser-lhes-á restituída.
(i) Os parágrafos (d) e (h) entrarão em vigor, em relação a cada governo signatário, a partir da data da assinatura respectiva.
(a) Logo que o presente Acordo entre em vigor nos termos da secção 1 do presente artigo, cada membro nomeará um governador, e o membro que possuir a quota mais elevada convocará a primeira reunião do conselho de governadores.
(b) Na primeira reunião do conselho de governadores serão tomadas disposições para a escolha de directores executivos provisórios. Os governos dos cinco países para os quais se estipulam no anexo A as quotas mais elevadas nomearão directores executivos provisórios. Se um ou mais desses governos se não tiverem tornado membros, os lugares de director executivo que teriam o direito de preencher permanecerão vagos até que eles se tornem membros ou até 1 de Janeiro de 1946, consoante o que se verificar mais cedo. Sete directores executivos provisórios serão eleitos de harmonia com o anexo C e permanecerão em exercício até à data da primeira eleição ordinária de directores executivos, que será realizada, logo que praticamente possível, depois de 1 de Janeiro de 1946.
(c) O conselho de governadores poderá delegar quaisquer poderes nos directores executivos provisórios, excepto os que não possam ser delegados nos directores executivos.
(a) O Fundo notificará os membros quando for de opinião de que estará em breve em situação de iniciar operações cambiais e solicitará de cada membro que comunique, no prazo de 30 dias, a paridade da sua moeda, calculada com base nas taxas de câmbio vigentes no 60.º dia anterior à entrada em vigor do presente Acordo. Esta comunicação não será solicitada a nenhum membro cujo território metropolitano tenha sido ocupado pelo inimigo enquanto esse território for teatro de operações militares importantes ou pelo período subsequente que o Fundo determinar. Quando esse membro comunicar a paridade da sua moeda, serão aplicadas as disposições do parágrafo (d) abaixo.
(b) A paridade da moeda de um membro cujo território metropolitano não tenha sido ocupado pelo inimigo será, para os fins do presente Acordo, a paridade comunicada por esse membro, a menos que, dentro de 90 dias, a contar da data de recepção do pedido referido no parágrafo (a) acima, (i) o membro notifique o Fundo de que não considera essa paridade como satisfatória, ou (ii) o Fundo notifique o membro de que, em sua opinião, essa paridade não poderá ser mantida sem implicar da parte desse membro ou de outros membros o recurso ao Fundo em proporção prejudicial para este e para os membros. Quando se fizer uma notificação nos termos previstos em (i) ou (ii) acima, o Fundo e o membro deverão chegar a acordo, num prazo fixado pelo Fundo, tendo em conta todas as circunstâncias pertinentes sobre a paridade adequada para essa moeda. Se o Fundo e o membro não chegarem a acordo dentro do prazo assim fixado, o membro será considerado como tendo-se retirado do Fundo na data em que o período expirar.
(c) Quando a paridade da moeda de um membro tiver sido estabelecida nos termos do parágrafo (b) acima, quer por ter terminado o prazo de 90 dias sem notificação, quer por acordo posterior à notificação, o membro terá capacidade para comprar ao Fundo moedas de outros membros na plena medida autorizada pelo presente Acordo, desde que o Fundo tenha iniciado operações cambiais.
(d) No caso de um membro cujo território metropolitano tenha sido ocupado pelo inimigo, serão aplicadas as disposições do parágrafo (b) acima, sob reserva das modificações seguintes:
(e) Se um membro cujo território metropolitano tenha sido ocupado pelo inimigo adoptar uma nova unidade monetária antes da data a fixar nos termos do parágrafo (d), (i), acima, a paridade fixada por esse membro para a nova unidade será comunicada ao Fundo e serão aplicadas as disposições do parágrafo (d) acima.
(f) As alterações de paridade acordadas com o Fundo nos termos da presente secção não serão tomadas em conta para determinar se a alteração proposta entra no âmbito das alíneas (i), (ii) ou (iii) do artigo IV, secção 5, (c).
(g) Um membro que comunique ao Fundo a paridade da moeda do seu território metropolitano deverá simultaneamente, comunicar um valor, expresso nessa moeda, para cada uma das diferentes moedas (onde estas existam) dos territórios relativamente aos quais aceitou o presente Acordo nos termos da secção 2, (g), do presente artigo, mas não será solicitada de nenhum membro qualquer comunicação relativa a moeda própria de um território que tenha sido ocupado pelo inimigo, enquanto esse território for teatro de hostilidades importantes, ou por um período subsequente que o Fundo determinar. Com base na paridade assim comunicada o Fundo calculará a paridade de cada uma das diferentes moedas. Qualquer comunicação ou notificação relativa à paridade de uma moeda, feita ao Fundo nos termos dos parágrafos (a), (b) ou (d) acima, será também considerada, salvo declaração em contrário, como uma comunicação ou notificação relativa à paridade de todas as diferentes moedas acima referidas. Contudo, qualquer membro poderá fazer uma comunicação ou notificação relativa exclusivamente à moeda metropolitana ou a qualquer das diferentes moedas. Se o membro assim proceder, serão aplicadas as disposições dos parágrafos precedentes (incluindo o parágrafo (d) acima, se um território onde exista uma moeda diferente tiver sido ocupado pelo inimigo) separadamente em relação a cada uma destas moedas.
(h) O Fundo iniciará as suas operações cambiais na data que fixar, depois de os membros com 65 por cento do total das quotas mencionadas no anexo A terem adquirido, de acordo com as disposições dos parágrafos precedentes da presente secção, capacidade para comprar no Fundo moedas de outros membros, mas em caso algum enquanto não tiverem terminado na Europa as hostilidades importantes.
(i) O Fundo poderá adiar as suas operações cambiais com qualquer membro se a situação desse membro for tal que, na opinião do Fundo, conduza à utilização dos recursos do Fundo de forma contrária aos objectivos do presente Acordo ou prejudicial para o Fundo ou para os membros.
(j) As paridades das moedas dos governos que manifestarem o seu desejo de se tornarem membros do Fundo depois de 31 de Dezembro de 1945 serão determinadas em conformidade com as disposições do artigo II, secção 2.
Feito em Washington, num único exemplar, que ficará depositado nos arquivos do Governo dos Estados Unidos da América, o qual transmitirá cópias autenticadas a todos os governos cujos nomes estão indicados no anexo A e a todos os governos cuja adesão for aprovada em conformidade com o artigo II, secção 2.

(a) A quota da Dinamarca será determinada pelo Fundo depois de o Governo Dinamarquês se ter declarado pronto a assinar o presente Acordo, mas antes da aposição da sua assinatura.
1. Para determinar a proporção em que a reaquisição de moeda de um membro ao Fundo, nos termos do artigo V, secção 7, (b), deverá ser realizada por meio de cada categoria de reservas monetárias, isto é, de ouro ou de moedas convertíveis, serão aplicadas, sob reserva do parágrafo 2 abaixo, as seguintes regras:
2. O Fundo não poderá adquirir moeda de qualquer país não membro, nos termos do artigo V, secção 7, (b) e (c).
3. Ao calcular as reservas monetárias e o aumento das mesmas durante qualquer ano, para os efeitos do artigo V, secção 7, (b) e (c), não se terá em conta — a menos que o membro tenha de outro modo efectuado deduções sobre essas disponibilidades — qualquer aumento das reservas monetárias que for devido a terem-se tornado convertíveis, durante o ano, moedas anteriormente inconvertíveis; nem as disponibilidades provenientes de empréstimos a médio ou a longo prazo contraídos durante o ano; nem as disponibilidades que tiverem sido transferidas ou reservadas para o reembolso de um empréstimo durante o ano seguinte.
4. No caso de membros cujos territórios metropolitanos tenham sido ocupados pelo inimigo, o ouro directamente proveniente, durante o período de cinco anos, a contar da data de entrada em vigor do presente Acordo, da produção de minas situadas nos seus territórios metropolitanos, não será incluído no cálculo das suas reservas monetárias nem no do aumento destas.
1. A eleição dos directores executivos a escolher por esse processo será feita por escrutínio dos governadores com capacidade para votar, nos termos do artigo XII, secção 3, (b), (iii) e (iv).
2. Ao participar no escrutínio para a eleição dos cinco directores a eleger, nos termos do artigo XII, secção 3, (b), (iii), cada um dos governadores com capacidade para votar deverá utilizar a favor de uma só pessoa todos os votos de que dispuser, nos termos do artigo XII, secção 5, (a). As cinco pessoas que reunirem o maior número de votos serão eleitas directores, sob condição de que não poderá ser eleita nenhuma pessoa que tenha tido menos de 19 por cento do número total de votos que seja possível obter no escrutínio (votos admissíveis).
3. Se não forem eleitas cinco pessoas no primeiro escrutínio, será realizado segundo escrutínio, no qual a pessoa que tiver reunido, no escrutínio anterior, o menor número de votos não poderá ser eleita, e no qual só votarão (a) os governadores que votaram, no primeiro escrutínio, numa pessoa que não tenha sido eleita e (b) os governadores cujos votos dados a favor de uma pessoa eleita forem considerados, nos termos do parágrafo 4 abaixo, como tendo elevado o número de votos reunidos por essa pessoa acima de 20 por cento dos votos admissíveis.
4. Ao determinar se os votos dados por um governador devem ser considerados como tendo elevado o total dos votos reunidos por qualquer pessoa acima de 20 por cento do total dos votos admissíveis, considera-se que esses 20 por cento deverão incluir, em primeiro lugar, os votos do governador que tiver dado maior número de votos a favor dessa pessoa, em seguida os votos do governador que tiver dado a favor dessa pessoa o número de votos imediatamente inferior, e assim sucessivamente, até se atingir a percentagem de 20 por cento.
5. Qualquer governador cujos votos tenham de ser contados em parte com o fim de elevar o total dos votos reunidos por qualquer pessoa acima de 19 por cento será considerado como tendo dado todos os seus votos a favor dessa pessoa, ainda que por tal facto o número de votos reunidos pela mesma pessoa exceda 20 por cento.
6. Se depois do segundo escrutínio não tiverem sido eleitas cinco pessoas, serão realizados novos escrutínios, baseados nos mesmos princípios, até que sejam eleitas cinco pessoas, ficando entendido que, desde que tenham sido eleitas quatro pessoas, a quinta poderá ser eleita por maioria simples dos votos restantes e será considerada como tendo sido eleita pela totalidade desses votos.
7. Os directores a eleger pelas repúblicas americanas, nos termos do artigo XII, secção 3, (b), (iv), serão eleitos da forma seguinte:
1. O Fundo será obrigado a pagar a um membro que se retire uma importância igual à sua quota, mais quaisquer outras importâncias que o Fundo lhe deva, menos quaisquer outras importâncias devidas ao Fundo, incluindo as comissões vencidas depois da data da retirada;porém, nenhum pagamento será realizado antes de expirado um prazo de seis meses a contar da data da retirada. Os pagamentos serão feitos na moeda do membro que se retira.
2. Se as disponibilidades do Fundo na moeda do membro que se retira não forem suficientes para pagar a importância líquida devida pelo Fundo, o saldo será pago em ouro ou numa outra forma que seja acordada. Se o Fundo e o membro que se retira não chegarem a acordo, dentro de seis meses a contar da data da retirada, as disponibilidades do Fundo na moeda em questão serão entregues imediatamente ao membro que se retira. Qualquer saldo em dívida será pago em dez prestações semestrais durante os cinco anos seguintes. Cada uma destas prestações será paga à opção do Fundo na moeda do membro que se retira, adquirida depois da retirada deste, ou por entrega de ouro.
3. Se o Fundo não satisfizer qualquer das prestações devidas em conformidade com os parágrafos precedentes, o membro que se retira terá o direito de solicitar do Fundo que efectue o pagamento das prestações em qualquer das moedas de que disponha, à excepção das moedas que tiverem sido declaradas escassas, nos termos do artigo VII, secção 3.
4. Se as disponibilidades do Fundo na moeda do membro que se retira excederem a importância devida a este, e se não se chegar a acordo dentro de seis meses, a contar da data da retirada, sobre o processo de liquidação das contas, o ex-membro será obrigado a resgatar a importância desse excedente da sua moeda contra ouro, ou, à sua escolha, contra moedas de membros que sejam convertíveis na data do resgate. O resgate será efectuado à paridade em vigor na data da retirada do Fundo. O membro que se retira deverá completar o resgate dentro de cinco anos, a contar da data da retirada, ou noutro período mais longo que o Fundo fixar, mas não lhe será exigido que resgate, em qualquer período de seis meses, mais da décima parte das disponibilidades em excesso da sua moeda em poder do Fundo na data da retirada, acrescidas das aquisições suplementares dessa moeda durante o semestre referido. Se o membro que se retira não cumprir esta obrigação, o Fundo poderá liquidar de forma ordenada, em qualquer mercado, a importância da moeda que deveria ter sido resgatada.
5. Qualquer membro que deseje obter moeda de um membro que se tenha retirado deverá adquiri-la por compra ao Fundo, na medida em que esse membro tenha acesso aos recursos do Fundo e em que essa moeda se encontrar disponível, nos termos do § 4 acima.
6. O membro que se retira garantirá a utilização sem restrições, em qualquer altura, da moeda cedida, nos termos dos §§ 4 e 5 acima, na compra de bens ou no pagamento de importâncias devidas a esse membro ou a residentes nos seus territórios. Deverá indemnizar o Fundo de qualquer perda que resulte da diferença entre a paridade da sua moeda na data da retirada e o valor realizado pelo Fundo nas vendas feitas de conformidade com os §§ 4 e 5 acima.
7. No caso de se proceder à liquidação do Fundo nos termos do artigo XVI, secção 2, dentro de seis meses, a contar da data em que o membro se retirar, as contas entre o Fundo e esse governo serão liquidadas de acordo com o artigo XVI, secção 2, e com o anexo E.
1. Em caso de liquidação, as responsabilidades do Fundo, não incluindo o reembolso das subscrições, terão prioridade na distribuição dos valores do Fundo. Para fazer face a cada uma destas responsabilidades, o Fundo utilizará os seus valores pela ordem seguinte:
2. Depois da quitação das responsabilidades do Fundo, de acordo com o § 1 acima, o remanescente dos valores do Fundo será distribuído e rateado da forma seguinte:
3. Cada membro deverá resgatar as disponibilidades na sua moeda que no rateio couberam a outros membros, nos termos do parágrafo 2, (c), acima, e acordará com o Fundo, dentro de três meses, a contar da decisão de liquidação, sobre um processo regular aplicável a esse resgate.
4. Se um membro não chegar a acordo com o Fundo dentro do período de três meses referido no parágrafo 3 acima, o Fundo utilizará as moedas de outros membros que no rateio couberam a esse membro, nos termos do parágrafo 2, (c), acima, para resgatar a moeda desse membro que no rateio coube aos outros membros. Cada moeda que no rateio coube a um membro com o qual não se tiver chegado a acordo será utilizada, tanto quanto possível, para resgatar a sua moeda que no rateio coube aos membros que concluírem acordos com o Fundo nos termos do parágrafo 3 acima.
5. Se um membro tiver chegado a acordo com o Fundo de harmonia com o parágrafo 3 acima, o Fundo utilizará as moedas de outros membros que no rateio couberam a esse membro, nos termos do parágrafo 2, (c), acima, para resgatar a moeda desse membro que no rateio coube a outros membros que tiverem realizado acordos com o Fundo nos termos do parágrafo 3 acima. Cada importância assim resgatada sê-lo-á na moeda do membro ao qual tiver sido atribuída em rateio.
6. Depois de executadas as disposições dos parágrafos precedentes, o Fundo pagará a cada membro as moedas restantes que detenha por sua conta.
7. Cada membro cuja moeda tiver sido distribuída a outros membros nos termos do parágrafo 6 acima deverá resgatar essa moeda contra ouro, ou, à sua escolha, contra a moeda do membro que pediu o resgate ou de qualquer outra forma que seja acordada entre eles. Salvo acordo em contrário entre os membros interessados, o membro obrigado a fazer o resgate deverá completá-lo no prazo de cinco anos, a contar da data da distribuição, mas não lhe será exigido que resgate, em qualquer período de seis meses, mais do que a décima parte da importância distribuída a cada um dos outros membros. Se o membro não cumprir esta obrigação, a importância na sua moeda que deveria ter sido resgatada poderá ser liquidada de forma ordenada em qualquer mercado.
8. Cada membro cuja moeda tenha sido distribuída a outros membros nos termos do parágrafo 6 acima garantirá a sua utilização sem restrições, em qualquer altura, na compra de bens ou no pagamento de importâncias devidas a esse membro ou a residentes nos seus territórios. Cada membro sujeito a esta obrigação compromete-se a compensar os outros membros de qualquer prejuízo resultante da diferença entre a paridade da sua moeda na data da decisão de liquidar o Fundo e o valor realizado por esses membros no momento da respectiva utilização.
