    DA REPÚBLICA POPULAR DA CHINA

    E

    A IRLANDA

    PARA A TROCA DE INFORMAÇÕES EM MATÉRIA FISCAL

    O Governo da Região Administrativa Especial de Macau da República Popular da China e o Governo da Irlanda, pretendendo facilitar a troca de informações em matéria fiscal, acordaram o seguinte:

    Artigo 1.º

    Objecto e Âmbito do Acordo

    As autoridades competentes das Partes Contratantes prestarão assistência mediante a troca de informações previsivelmente relevantes para a administração e aplicação da legislação interna (no caso de Macau) e doméstica (no caso da Irlanda) das Partes Contratantes relativa aos impostos contemplados por este Acordo. Essas informações deverão incluir informações previsivelmente relevantes para a determinação, liquidação e cobrança desses impostos, para a cobrança e execução de créditos fiscais, ou para a investigação ou prossecução de questões fiscais. As informações serão trocadas de acordo com as disposições deste Acordo e consideradas confidenciais nos termos previstos no Artigo 8.º Os direitos e garantias atribuídos às pessoas pela legislação ou prática administrativa da Parte requerida manter-se-ão aplicáveis na medida em que não evitem ou atrasem indevidamente a troca efectiva de informações.

    Artigo 2.º

    Jurisdição

    A Parte requerida não é obrigada a fornecer informações de que não disponham as respectivas autoridades e que não se encontrem na posse ou sob o controlo de pessoas que se encontrem na sua jurisdição territorial.

    Artigo 3.º

    Impostos Visados

    1. Os impostos que se encontram abrangidos por este Acordo são os impostos de qualquer espécie e descrição aplicados pelas Partes Contratantes à data da assinatura do Acordo.

    2. O presente Acordo será igualmente aplicável aos impostos de natureza idêntica que entrem em vigor posteriormente à data da assinatura do Acordo e que venham a acrescer ou substituir os impostos existentes. O presente Acordo será igualmente aplicável aos impostos de natureza substancialmente similar que entrem em vigor após a data de entrada em vigor do Acordo e que venham a acrescer ou substituir os impostos existentes, se as autoridades competentes das Partes Contratantes assim o entenderem. Em complemento, os impostos abrangidos poderão ser expandidos ou modificados por procedimento amigável das Partes Contratantes na forma de troca de cartas. As autoridades competentes das Partes Contratantes comunicarão entre si quaisquer modificações substanciais na tributação e medidas conexas com a recolha de informações visadas no presente Acordo.

    Artigo 4.º

    Definições

    1. Para efeitos do presente Acordo, salvo definição em contrário:

    a) O termo «Macau» significa a Região Administrativa Especial de Macau da República Popular da China; usada em sentido geográfico, compreende a península de Macau e as ilhas da Taipa e Coloane;

    b) O termo «Irlanda», inclui qualquer área para além das águas territoriais da Irlanda que tenha sido ou possa doravante ser designada de acordo com a legislação da Irlanda respeitante à Zona Económica Exclusiva e a Plataforma Continental, como uma área na qual a Irlanda pode exercer esses direitos soberanos e jurisdição de acordo com o direito internacional;

    c) O termo «Parte Contratante» significa Macau ou Irlanda conforme o contexto;

    d) O termo «autoridade competente» significa:

    (i) no caso de Macau, o Chefe do Executivo ou o seu representante autorizado; e

    (ii) no caso da Irlanda, os Comissários dos Impostos ou os seus representantes autorizados;

    e) O termo «pessoa» compreende uma pessoa singular, uma sociedade e qualquer outro agrupamento de pessoas;

    f) O termo «sociedade» significa qualquer pessoa colectiva ou entidade que é tratada como pessoa colectiva para efeitos fiscais;

    g) O termo «sociedade cotada» significa qualquer sociedade cuja principal classe de acções se encontra cotada numa bolsa de valores reconhecida, desde que as acções cotadas possam ser imediatamente adquiridas ou vendidas pelo público. As acções podem ser adquiridas ou vendidas «pelo público» se a aquisição ou a venda de acções não estiver, implícita ou explicitamente, restringida a um grupo limitado de investidores;

    h) O termo «principal classe de acções» significa a classe ou classes de acções representativas de uma maioria de direito de voto e do valor da sociedade;

    i) O termo «bolsa de valores reconhecida» significa qualquer bolsa de valores acordada entre as autoridades competentes das Partes Contratantes;

    j) O termo «fundo ou plano de investimento colectivo» significa qualquer veículo de investimento colectivo, independentemente da sua forma jurídica. O termo «fundo ou plano de investimento público colectivo» significa qualquer fundo ou plano de investimento colectivo, desde que as unidades, as acções ou outras participações no fundo ou plano possam ser imediatamente adquiridas, vendidas ou resgatadas pelo público. As unidades, as acções ou outras participações no fundo ou plano podem ser imediatamente adquiridas, vendidas ou resgatadas «pelo público» se a aquisição, a venda ou o resgate não estiver, implícita ou explicitamente, restringido a um grupo limitado de investidores;

    k) O termo «imposto» significa qualquer imposto a que o presente Acordo se aplica;

    l) O termo «Parte requerente» significa a Parte Contratante que solicita informações;

    m) O termo «Parte requerida» significa a Parte Contratante à qual são solicitadas informações;

    n) O termo «medidas de recolhas de informações» significa as leis ou procedimentos administrativos ou judiciais que permitem a uma Parte Contratante obter e fornecer as informações solicitadas;

    o) O termo «informações» significa qualquer facto, declaração, ou registo, independentemente da sua forma;

    p) O termo «questões criminais fiscais», no caso da Irlanda, significa questões fiscais que envolvem um comportamento intencional passível de acção judicial de acordo com a legislação penal da Irlanda;

    q) O termo «legislação penal», no caso da Irlanda, significa qualquer norma penal qualificada como tal de acordo com a respectiva legislação doméstica, independentemente do facto de estar contida na legislação fiscal, código penal ou noutra legislação.

    2. No que se refere à aplicação a qualquer momento do presente Acordo por uma Parte Contratante, qualquer expressão não definida no mesmo deverá ter, a não ser que o contexto exija interpretação diferente ou as autoridades competentes acordem num significado comum nos termos das disposições do Artigo 11.º, o significado que lhe for atribuído naquele momento pela legislação dessa Parte, prevalecendo o significado resultante da legislação fiscal dessa Parte sobre a que decorra de outra legislação dessa Parte.

    Artigo 5.º

    Troca de Informações a Pedido

    1. A autoridade competente da Parte requerida prestará informações a pedido para os fins previstos no Artigo 1.º Essas informações devem ser prestadas independentemente do facto de o comportamento sob investigação constituir um crime de acordo com a legislação da Parte requerida, caso tal comportamento ocorresse na Parte requerida.

    2. Se as informações na posse da autoridade competente da Parte requerida não forem suficientes de modo a permitir-lhe satisfazer o pedido de informações, a referida Parte tomará todas as medidas adequadas para a recolha de informações relevantes a fim de prestar à Parte requerente as informações solicitadas, ainda que a Parte requerida não necessite dessas informações para os seus próprios fins fiscais.

    3. Se especificamente solicitado pela autoridade competente da Parte requerente, a autoridade competente da Parte requerida prestará as informações visadas no presente Artigo, na medida do permitido pela sua legislação interna (no caso de Macau) e doméstica (no caso da Irlanda), sob a forma de depoimentos de testemunhas e de cópias autenticadas de documentos originais.

    4. Cada Parte Contratante providenciará no sentido de que as respectivas autoridades competentes, em conformidade com o disposto no Artigo 1.º do presente Acordo, tenham o direito de obter e de fornecer, a pedido:

    a) Informações detidas por bancos, outras instituições financeiras e, por qualquer pessoa que aja na qualidade de mandatário ou fiduciário, incluindo nominees e trustees;

    b) Informações relativas a propriedade de sociedades, sociedades de pessoas, trusts, fundações, e outras pessoas, incluindo, dentro dos limites do Artigo 2.º, informação sobre propriedade de todas essas pessoas numa cadeia de proprietários; no caso de trusts, informações relativas a settlors, trustees e beneficiários; e, no caso de fundações, informações relativas a fundadores, membros do conselho da fundação e beneficiários. Este Acordo não impõe às Partes Contratantes a obrigatoriedade de obterem ou fornecerem informações relativamente a propriedade de sociedades cotadas ou de fundos ou planos de investimento público colectivo, salvo se as referidas informações puderem ser obtidas sem gerarem dificuldades desproporcionadas.

    5. A autoridade competente da Parte requerente prestará as informações seguintes à autoridade competente da Parte requerida, sempre que apresente um pedido de informações ao abrigo do presente Acordo, em que demonstre a previsível relevância das informações solicitadas:

    a) a identidade da pessoa objecto de exame ou investigação;

    b) a indicação das informações pretendidas, designadamente a natureza das mesmas e a forma como a Parte requerente deseja receber as informações da Parte requerida;

    c) a finalidade fiscal com que as informações são solicitadas;

    d) razões que levam a supor que as informações solicitadas são detidas na Parte requerida ou estão na posse ou sob o controlo de uma pessoa sujeita à jurisdição da Parte requerida;

    e) na medida em que sejam conhecidos, o nome e morada de qualquer pessoa em relação à qual haja a convicção de estar na posse das informações solicitadas;

    f) uma declaração em como o pedido está em conformidade com as disposições legislativas e com as práticas administrativas da Parte requerente, que, se as informações solicitadas relevassem da jurisdição da Parte requerente, a autoridade competente da Parte requerente poderia obter as informações ao abrigo da sua legislação ou no quadro normal da sua prática administrativa e que o pedido de informações está em conformidade com o presente Acordo;

    g) uma declaração em como a Parte requerente utilizou para a obtenção das informações todos os meios disponíveis na sua própria jurisdição, salvo aqueles susceptíveis de suscitar dificuldades desproporcionadas.

    6. A autoridade competente da Parte requerida comunicará tão diligentemente quanto possível à Parte requerente as informações solicitadas. A fim de assegurar uma resposta expedita, a autoridade competente da Parte requerida deverá:

    a) Confirmar, por escrito, a recepção do pedido à autoridade competente da Parte requerente e notificar a autoridade competente da Parte requerente de quaisquer eventuais lacunas no pedido, no prazo de 60 dias a contar da recepção do pedido;

    b) Se a autoridade competente da Parte requerida não tiver conseguido obter e fornecer as informações no prazo de 90 dias a contar da recepção do pedido, incluindo defrontar-se com obstáculos no fornecimento das informações ou recusa na prestação de informações, deverá de imediato informar a Parte requerente indicando as razões dessa incapacidade, a natureza dos obstáculos encontrados ou os motivos dessa recusa.

    Artigo 6.º

    Exames Fiscais no Estrangeiro

    1. Uma Parte Contratante pode autorizar (no caso de Macau, nos termos da sua legislação interna) representantes da autoridade competente da outra Parte Contratante a deslocarem-se à jurisdição da primeira Parte mencionada a fim de entrevistarem indivíduos e examinarem registos, com o consentimento por escrito das pessoas visadas. A autoridade competente da segunda Parte mencionada deverá notificar à autoridade competente da primeira Parte mencionada sobre a data e local da reunião com as pessoas em causa.

    2. A pedido da autoridade competente de uma Parte Contratante, a autoridade competente da outra Parte Contratante poderá autorizar representantes da autoridade competente da primeira Parte a assistirem à fase adequada de um exame fiscal na segunda Parte mencionada.

    3. Se o pedido visado no número 2 for aceite, a autoridade competente da Parte Contratante que realiza o exame dará conhecimento logo que possível à autoridade competente da outra Parte e da data e do local do exame, da autoridade ou do funcionário designado para a realização do exame, assim como dos procedimentos e das condições exigidas pela primeira Parte mencionada para a realização do exame. Quaisquer decisões respeitantes à realização do exame fiscal serão tomadas pela Parte que realiza o exame.

    Artigo 7.º

    Possibilidade de Recusar um Pedido

    1. A Parte requerida não fica obrigada a obter ou a prestar informações que a Parte requerente não pudesse obter ao abrigo da sua própria legislação para fins de administração ou aplicação da sua própria legislação fiscal. A autoridade competente da Parte requerida pode recusar prestar assistência quando o pedido não for formulado em conformidade com o presente Acordo.

    2. As disposições deste Acordo não impõem a uma Parte Contratante a obrigação de prestar informações susceptíveis de revelar um segredo comercial, industrial ou profissional ou processo comercial. Não obstante o que precede, informações do tipo referido no Artigo 5.º número 4 não serão tratadas como um segredo ou processo comercial apenas pelo facto de satisfazerem os critérios previstos nesse número.

    3. As disposições deste Acordo não impõem a uma Parte Contratante a obrigação de obter ou prestar informações susceptíveis de divulgar comunicações confidenciais entre cliente e advogado, solicitador ou outro representante legal autorizado, quando tais comunicações:

    a) se destinam a solicitar ou fornecer um parecer jurídico; ou

    b) se destinam a ser utilizadas num processo judicial em curso ou previsto.

    4. A Parte requerida pode recusar um pedido de informações se a divulgação das informações for contrária à ordem pública (ordre public).

    5. Um pedido de informações não pode ser recusado com fundamento na impugnação do crédito fiscal objecto do pedido.

    6. A Parte requerida pode recusar um pedido de informações desde que estas sejam solicitadas pela Parte requerente com vista à aplicação ou à execução de uma disposição da legislação fiscal da Parte requerente, ou de qualquer obrigação com ela conexa, que seja discriminatória em relação a um residente ou um cidadão da Parte requerida face a um residente ou um cidadão da Parte requerente nas mesmas circunstâncias. Para efeitos do presente número entende-se que o termo «residente ou cidadão» significa

    (a) no caso de Macau, qualquer indivíduo que é tratado como um residente em conformidade com a Lei Básica de Macau e qualquer pessoa colectiva ou entidade criada ou organizada sob as leis de Macau; e

    (b) no caso da Irlanda, qualquer pessoa singular em posse da cidadania da Irlanda e qualquer pessoa colectiva ou associação constituída em conformidade com a legislação em vigor na Irlanda.

    Artigo 8.º

    Confidencialidade

    Quaisquer informações recebidas por uma Parte Contratante com base neste Acordo serão tratadas como confidenciais e poderão ser divulgadas apenas às pessoas ou autoridades (incluindo tribunais e orgãos administrativos) na jurisdição da Parte Contratante relacionadas com a liquidação ou cobrança, execução ou prossecução, ou decisão de recursos, relativamente aos impostos contemplados por este Acordo. Essas pessoas ou autoridades poderão usar essa informação apenas para esses fins. Poderão divulgar as informações em audiências públicas de tribunais ou decisões judiciais. Essas informações não poderão ser divulgadas a qualquer outra pessoa ou entidade ou autoridade ou qualquer outra jurisdição sem o expresso consentimento por escrito da autoridade competente da Parte requerida.

    Artigo 9.º

    Custos

    A incidência de custos incorridos na prestação de assistência serão acordados pelas Partes Contratantes.

    Artigo 10.º

    Legislação Necessária

    A Região Administrativa Especial de Macau da República Popular da China e a Irlanda deverão aprovar qualquer legislação que seja necessária para cumprir e dar efeito às disposições do presente Acordo.

    Artigo 11.º

    Procedimento amigável

    1. No caso de se suscitarem dificuldades ou dúvidas entre as Partes Contratantes relativamente à aplicação ou interpretação do presente Acordo, as respectivas autoridades competentes esforçar-se-ão por resolver a questão através de procedimento amigável.

    2. Para além dos procedimentos referido no número 1, as autoridades competentes das Partes Contratantes poderão definir por comum acordo os procedimentos a seguir nos termos dos Artigos 5.º e 6.º do presente Acordo.

    3. As autoridades competentes das Partes Contratantes podem comunicar directamente entre si para efeitos de definir procedimentos com base no presente Artigo.

    4. As Partes Contratantes poderão chegar a acordo sobre outras formas de resolução de litígios.

    Artigo 12.º

    Entrada em Vigor

    1. Cada uma das Partes Contratantes notificará a outra por escrito, da conclusão dos procedimentos necessários pela sua legislação para a entrada em vigor do presente Acordo.

    2. O Acordo entrará em vigor na data em que for recebida a última dessas notificações.

    3. Mediante a entrada em vigor, produzirá efeitos:

    a) para questões criminais fiscais, nessa data;

    b) para quaisquer outras questões previstas no Artigo 1.º, nessa data, mas apenas relativamente aos exercícios fiscais que se iniciem nessa data ou após essa data ou, na ausência de exercício fiscal, quaisquer obrigações tributárias que surjam nessa data ou após essa data.

    Artigo 13.º

    Duração e Denúncia

    1. Este Acordo permanecerá em vigor até ser denunciado por qualquer das Partes Contratantes.

    2. Qualquer das Partes Contratantes poderá denunciar o Acordo, mediante envio, por carta, de notificação de denúncia à autoridade competente da outra Parte Contratante.

    3. Essa denúncia torna-se efectiva no primeiro dia do mês seguinte ao final do período de seis meses após a data de recepção da notificação de denúncia pela outra Parte Contratante.

    4. Não obstante a denúncia do presente Acordo por uma Parte Contratante, ambas as Partes continuarão vinculadas ao disposto no Artigo 8.º deste Acordo relativamente a quaisquer informações obtidas com base no presente Acordo.

    Em fé do que, os signatários, devidamente autorizados para o efeito, assinaram o presente Acordo.

    Feito em Macau, aos 12 dias do mês de Setembro de 2016, em duplicado nas línguas Chinesa, Portuguesa e Inglesa fazendo todos os textos igualmente fé. Em caso de divergências entre os textos, a versão inglesa prevalecerá.

    AGREEMENT

    BETWEEN

    THE MACAO SPECIAL ADMINISTRATIVE REGION OF

    THE PEOPLE’S REPUBLIC OF CHINA

    AND

    IRELAND

    FOR

    THE EXCHANGE OF INFORMATION RELATING TO TAX MATTERS

    The Government of the Macao Special Administrative Region of the People’s Republic of China and the Government of Ireland, desiring to facilitate the exchange of information with respect to taxes, have agreed as follows:

    Article 1

    Object and Scope of the Agreement

    The competent authorities of the Contracting Parties shall provide assistance through exchange of information that is foreseeably relevant to the administration and enforcement of the internal (in the case of Macao) and domestic (in the case of Ireland) laws of the Contracting Parties concerning taxes covered by this Agreement. Such information shall include information that is foreseeably relevant to the determination, assessment and collection of such taxes, the recovery and enforcement of tax claims, or the investigation or prosecution of tax matters. Information shall be exchanged in accordance with the provisions of this Agreement and shall be treated as confidential in the manner provided in Article 8. The rights and safeguards secured to persons by the laws or administrative practice of the requested Party remain applicable to the extent that they do not unduly prevent or delay effective exchange of information.

    Article 2

    Jurisdiction

    A Requested Party is not obligated to provide information which is neither held by its authorities nor in the possession or control of persons who are within its jurisdiction.

    Article 3

    Taxes Covered

    1. The taxes which are the subject of this Agreement are taxes of every kind and description imposed by the Contracting Parties, at the date of signature of the Agreement.

    2. This Agreement shall also apply to any identical taxes imposed after the date of signature of the Agreement in addition to or in place of the existing taxes. This Agreement shall also apply to any substantially similar taxes imposed after the date of signature of the Agreement in addition to or in place of the existing taxes if the competent authorities of the Contracting Parties so agree. Furthermore, the taxes covered may be expanded or modified by mutual agreement of the Contracting Parties in the form of an exchange of letters. The competent authorities of the Contracting Parties shall notify each other of any substantial changes to the taxation and related information gathering measures covered by the Agreement.

    Article 4

    Definitions

    1. For the purposes of this Agreement, unless otherwise defined:

    a) the term «Macao», means the Macao Special Administrative Region of the People’s Republic of China; used in a geographical sense, it means the peninsula of Macao and the islands of Taipa and Coloane;

    b) the term «Ireland» includes any area outside the territorial waters of Ireland which has been or may hereafter be designated, under the laws of Ireland concerning the Exclusive Economic Zone and the Continental Shelf, as an area within which Ireland may exercise such sovereign rights and jurisdiction as are in conformity with international law;

    c) the term «Contracting Party» means Macao or Ireland as the context requires;

    d) the term «competent authority» means

    (i) in the case of Macao, the Chief Executive or his authorised representative; and

    (ii) in the case of Ireland, the Revenue Commissioners or their authorised representative;

    e) the term «person» includes an individual, a company and any other body of persons;

    f) the term «company» means any body corporate or any entity that is treated as a body corporate for tax purposes;

    g) the term «publicly traded company» means any company whose principal class of shares is listed on a recognised stock exchange provided its listed shares can be readily purchased or sold by the public. Shares can be purchased or sold «by the public» if the purchase or sale of shares is not implicitly or explicitly restricted to a limited group of investors;

    h) the term «principal class of shares» means the class or classes of shares representing a majority of the voting power and value of the company;

    i) the term «recognised stock exchange» means any stock exchange agreed upon by the competent authorities of the Contracting Parties;

    j) the term «collective investment fund or scheme» means any pooled investment vehicle, irrespective of legal form. The term «public collective investment fund or scheme» means any collective investment fund or scheme provided the units, shares or other interests in the fund or scheme can be readily purchased, sold or redeemed by the public. Units, shares or other interests in the fund or scheme can be readily purchased, sold or redeemed «by the public» if the purchase, sale or redemption is not implicitly or explicitly restricted to a limited group of investors;

    k) the term «tax» means any tax to which the Agreement applies;

    l) the term «requesting Party» means the Contracting Party requesting information;

    m) the term «requested Party» means the Contracting Party requested to provide information;

    n) the term «information gathering measures» means laws and administrative or judicial procedures that enable a Contracting Party to obtain and provide the requested information;

    o) the term «information» means any fact, statement or record in whatever form;

    p) the term «criminal tax matters», in the case of Ireland, means tax matters involving intentional conduct which is liable to prosecution under the criminal laws of Ireland;

    q) the term «criminal laws», in the case of Ireland, means all criminal laws designated as such under domestic law irrespective of whether contained in the tax laws, the criminal code or other statutes.

    2. As regards the application of this Agreement at any time by a Contracting Party, any term not defined therein shall, unless the context otherwise requires or the competent authorities agree to a common meaning pursuant to the provisions of Article 11, have the meaning that it has at that time under the law of that Party, any meaning under the applicable tax laws of that Party prevailing over a meaning given to the term under other laws of that Party.

    Article 5

    Exchange of Information Upon Request

    1. The competent authority of the requested Party shall provide upon request information for the purposes referred to in Article 1. Such information shall be exchanged without regard to whether the conduct being investigated would constitute a crime under the laws of the requested Party if such conduct occurred in the requested Party.

    2. If the information in the possession of the competent authority of the requested Party is not sufficient to enable it to comply with the request for information, that Party shall use all relevant information gathering measures to provide the requesting Party with the information requested, notwithstanding that the requested Party may not need such information for its own tax purposes.

    3. If specifically requested by the competent authority of the requesting Party, the competent authority of the requested Party shall provide information under this Article, to the extent allowable under its internal (in the case of Macao) or domestic (in the case of Ireland) laws, in the form of depositions of witnesses and authenticated copies of original records.

    4. Each Contracting Party shall ensure that its competent authorities for the purposes specified in Article 1 of the Agreement, have the authority to obtain and provide upon request:

    a) information held by banks, other financial institutions, and any person acting in an agency or fiduciary capacity including nominees and trustees;

    b) information regarding the ownership of companies, partnerships, trusts, foundations, and other persons, including, within the constraints of Article 2, ownership information on all such persons in an ownership chain; in the case of trusts, information on settlors, trustees and beneficiaries; and in the case of foundations, information on founders, members of the foundation council and beneficiaries. Further, this Agreement does not create an obligation on the Contracting Parties to obtain or provide ownership information with respect to publicly traded companies or public collective investment funds or schemes unless such information can be obtained without giving rise to disproportionate difficulties.

    5. The competent authority of the requesting Party shall provide the following information to the competent authority of the requested Party when making a request for information under the Agreement to demonstrate the foreseeable relevance of the information to the request:

    a) the identity of the person under examination or investigation;

    b) a statement of the information sought including its nature and the form in which the requesting Party wishes to receive the information from the requested Party;

    c) the tax purpose for which the information is sought;

    d) grounds for believing that the information requested is held in the requested Party or is in the possession or control of a person within the jurisdiction of the requested Party;

    e) to the extent known, the name and address of any person believed to be in possession of the requested information;

    f) a statement that the request is in conformity with the law and administrative practices of the requesting Party, that if the requested information was within the jurisdiction of the requesting Party then the competent authority of the requesting Party would be able to obtain the information under the laws of the requesting Party or in the normal course of administrative practice and that it is in conformity with this Agreement;

    g) a statement that the requesting Party has pursued all means available in its own jurisdiction to obtain the information, except those that would give rise to disproportionate difficulties.

    6. The competent authority of the requested Party shall forward the requested information as promptly as possible to the requesting Party. To ensure a prompt response, the competent authority of the requested Party shall:

    a) Confirm receipt of a request in writing to the competent authority of the requesting Party and shall notify the competent authority of the requesting Party of deficiencies in the request, if any, within 60 days of the receipt of the request.

    b) If the competent authority of the requested Party has been unable to obtain and provide the information within 90 days of receipt of the request, including if it encounters obstacles in furnishing the information or it refuses to furnish the information, it shall immediately inform the requesting Party, explaining the reason for its inability, the nature of the obstacles or the reasons for its refusal.

    Article 6

    Tax Examinations Abroad

    1. A Contracting Party may (in accordance with its internal laws in the case of Macao) allow representatives of the competent authority of the other Contracting Party to enter the jurisdiction of the first-mentioned Party to interview individuals and examine records with the written consent of the persons concerned. The competent authority of the second-mentioned Party shall notify the competent authority of the first-mentioned Party of the time and place of the meeting with the individuals concerned.

    2. At the request of the competent authority of one Contracting Party, the competent authority of the other Contracting Party may allow representatives of the competent authority of the first-mentioned Party to be present at the appropriate part of a tax examination in the second-mentioned Party.

    3. If the request referred to in paragraph 2 is acceded to, the competent authority of the Contracting Party conducting the examination shall, as soon as possible, notify the competent authority of the other Party about the time and place of the examination, the authority or official designated to carry out the examination and the procedures and conditions required by the first-mentioned Party for the conduct of the examination. All decisions with respect to the conduct of the tax examination shall be made by the Party conducting the examination.

    Article 7

    Possibility of Declining a Request

    1. The requested Party shall not be required to obtain or provide information that the requesting Party would not be able to obtain under its own laws for purposes of the administration or enforcement of its own tax laws. The competent authority of the requested Party may decline to assist where the request is not made in conformity with this Agreement.

    2. The provisions of this Agreement shall not impose on a Contracting Party the obligation to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process. Notwithstanding the foregoing, information of the type referred to in Article 5, paragraph 4 shall not be treated as such a secret or trade process merely because it meets the criteria in that paragraph.

    3. The provisions of this Agreement shall not impose on a Contracting Party the obligation to obtain or provide information, which would reveal confidential communications between a client and an attorney, solicitor or other admitted legal representative where such communications are:

    a) produced for the purposes of seeking or providing legal advice or

    b) produced for the purposes of use in existing or contemplated legal proceedings.

    4. The requested Party may decline a request for information if the disclosure of the information would be contrary to public policy (ordre public).

    5. A request for information shall not be refused on the ground that the tax claim giving rise to the request is disputed.

    6. The requested Party may decline a request for information if the information is requested by the requesting Party to administer or enforce a provision of the tax law of the requesting Party, or any requirement connected therewith, which discriminates against a resident or a citizen of the requested Party as compared with a resident or a citizen of the requesting Party in the same circumstances. For the purposes of this paragraph it is understood that the term «a resident or a citizen» means

    a) in the case of Macao, any individual who is treated as a resident in accordance with the Basic Law of Macao and any legal person or entity created or organised under the laws of Macao; and

    b) in the case of Ireland, any individual possessing the citizenship of Ireland and any legal person or association deriving its status as such from the laws in force in Ireland.

    Article 8

    Confidentiality

    Any information received by a Contracting Party under this Agreement shall be treated as confidential and may be disclosed only to persons or authorities (including courts and administrative bodies) in the jurisdiction of the Contracting Party concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by this Agreement. Such persons or authorities shall use such information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions. The information may not be disclosed to any other person or entity or authority or any other jurisdiction without the express written consent of the competent authority of the requested Party.

    Article 9

    Costs

    Incidence of costs incurred in providing assistance shall be agreed by the Contracting Parties.

    Article 10

    Implementation Legislation

    The Macao Special Administrative Region of the People’s Republic of China and Ireland shall enact any legislation necessary to comply with, and give effect to, the terms of this Agreement.

    Article 11

    Mutual Agreement Procedure

    1. Where difficulties or doubts arise between the Contracting Parties regarding the implementation or interpretation of the Agreement, the respective competent authorities shall use their best efforts to resolve the matter by mutual agreement.

    2. In addition to the agreements referred to in paragraph 1, the competent authorities of the Contracting Parties may mutually agree on the procedures to be used under Articles 5 and 6 of this Agreement.

    3. The competent authorities of the Contracting Parties may communicate with each other directly for the purposes of reaching agreement under this Article.

    4. The Contracting Parties may also agree on other forms of dispute resolution.

    Article 12

    Entry into Force

    1. The Contracting Parties shall notify each other in writing of the completion of the procedures required by the respective laws for the entry into force of this Agreement.

    2. The Agreement shall enter into force from the date on which the later of the notifications is received.

    3. Upon the date of entry into force, it shall have effect:

    a) for criminal tax matters on that date; and

    b) for all other matters covered in Article 1 on that date, but only in respect of taxable periods beginning on or after that date or, where there is no taxable period, all charges to tax arising on or after that date.

    Article 13

    Duration and Termination

    1. This Agreement shall remain in force until terminated by either Contracting Party.

    2. Either Contracting Party may terminate the Agreement by serving a notice of termination by letter to the competent authority of the other Contracting Party.

    3. Such termination shall become effective on the first day of the month following the expiration of a period of six months after the date of receipt of notice of termination by the other Contracting Party.

    4. If a Contracting Party terminates this Agreement, notwithstanding such terminations, both parties shall remain bound by the provisions of Article 8 of this Agreement with respect to any information obtained under the Agreement.

    In witness whereof, the undersigned, being duly authorised thereto, have signed the Agreement.

    Done at Macao, this 12th day of September 2016, in duplicate in the Chinese, Portuguese and English languages, all texts being equally authentic. In case of divergence between the texts, the English version shall prevail.
